Envista Holdings Corporation — FY2022 Form 10-K
Reporting period: Fiscal year ended December 31, 2022. This filing reports annual results; it does not provide a clear standalone Q4 income statement or Q4 metrics. Financial figures below are for continuing operations unless noted. Filed February 16, 2023.
Business context and reporting period
Envista sells dental implants, orthodontic products, imaging and diagnostic systems, and dental consumables through its Specialty Products & Technologies (SP&T) and Equipment & Consumables (E&C) segments. It reported $2.57 billion of FY2022 sales, served customers in more than 140 countries, and derived 51% of sales from outside the U.S.
The portfolio mix shifted toward SP&T, which represented 62% of sales versus 60% in 2021. During 2022, Envista acquired Carestream Dental’s intraoral scanner business for $580.3 million and Osteogenics for approximately $128.2 million. The 2021 KaVo Treatment Unit and Instrument divestiture is presented as discontinued operations.

Reported sales grew 2.4%; non-GAAP core sales grew 4.1%, excluding acquisitions, discontinued products and currency translation. Foreign exchange reduced reported growth by 3.5%; acquisitions added 1.8%. Sales volume contributed 2.5% and pricing 1.6%. Gross margin improved 0.5 percentage points, while operating margin improved 0.2 points.
At year-end, total debt was $1,380.7 million: $510.0 million of convertible notes classified as current and $870.7 million of long-term debt. The notes’ current classification reflects a conversion condition being met, not a change in their stated June 2025 maturity. The revolving facility had no borrowings outstanding and $750 million available; the company reported compliance with debt covenants. Current assets were $1,424.6 million and current liabilities were $1,236.7 million.
Investing cash use was $657.3 million, including $696.2 million for acquisitions, net of cash acquired, and $75.7 million of property and equipment additions. Management said operating cash flow and other liquidity sources were sufficient for needs over the next 12 months and beyond. No EBITDA figure is provided in the summarized filing text.
Material changes versus prior year
- SP&T sales rose 6.0% to $1,598.6 million; core sales increased 9.1%. Segment operating margin fell to 16.8% from 18.1%, reflecting product mix, growth investment and inflation.
- E&C sales declined 3.1% to $970.5 million; core sales declined 3.4%, with lower imaging and infection-prevention demand partly offset by restorative and endodontic products. Segment operating margin rose to 17.8% from 15.4%, supported by pricing, mix and lower restructuring costs.
- Continuing-operations income declined 9.7%, despite higher sales and operating profit. The effective tax rate was 16.2%, versus a 2021 benefit-rate of (3.5%), primarily reflecting geographic earnings mix and Swiss discrete tax benefits in 2021 that did not recur.
- Total net income fell 28.6%, partly because discontinued-operations income was $5.1 million versus $77.0 million in 2021.
- Operating cash flow fell by $178.9 million, which management attributed mainly to lower net income, higher incentive compensation payments, acquisition transaction costs and tax-payment timing. Cash declined by $466.7 million during the year.
Outlook, risks and unusual items
The filing provides no quantified FY2023 revenue or earnings guidance. Management emphasizes continued investment in digital workflows, implants, orthodontics, emerging markets and commercial capacity, alongside cost and operating-efficiency initiatives. It describes long-term dental-industry growth drivers including aging populations, underpenetrated procedures, digital adoption, cosmetic dentistry and growth of dental service organizations.
- Risks highlighted include inflation, rising interest rates, currency movements, supply-chain disruption, economic sensitivity of out-of-pocket dental spending, China market conditions and pricing pressure from China’s volume-based procurement policies.
- COVID-19 continued to affect some markets; China sales were reduced by lockdowns and subsequent infection increases. The Russia-Ukraine conflict had no material reported effect on FY2022 financial position or results, but future effects remain uncertain.
- Variable-rate term loans expose the company to rate increases. A 100-basis-point increase would have raised 2022 interest expense by an estimated $7.0 million. The $650 million term loan rate was 5.98% at year-end, versus 1.25% a year earlier.
- Goodwill was $3.50 billion and other intangible assets, net, were $1.09 billion. No goodwill impairment was recorded; goodwill impairment was a critical audit matter because valuation depended on forecasts and market assumptions.
- Legal contingency accruals were $35.7 million. Envista stated that resolution of proceedings, net of accruals, was not expected to materially affect its financial position, but one or more matters could materially affect results or cash flows in a period. Outstanding guarantees were $19.0 million.
- Restructuring charges were $37.6 million in 2022, and additional non-cash losses of $11.1 million were recorded for facility consolidation-related items. Acquisition integration, product regulation, cybersecurity, privacy, competition and distributor concentration are also material risks.
The independent auditor issued an unqualified opinion on the financial statements and internal controls; management also concluded internal control over financial reporting was effective. Envista stated it had no present intention to pay cash dividends.
Important facts for investors to verify
- Review the full-year versus quarterly trend: this filing does not provide a clear standalone Q4 result in the supplied text.
- Assess whether SP&T growth can continue and whether E&C demand, particularly imaging, recovers; compare core sales with reported sales and currency effects.
- Track cash conversion, working capital and liquidity after the acquisitions, including the decline in operating cash flow and year-end cash.
- Confirm the convertible notes’ conversion status, cash settlement requirements, and the refinancing or repayment plan for 2024 term loans and 2025 notes.
- Monitor acquisition integration and returns on the intraoral scanner and Osteogenics purchases, as well as goodwill and intangible-asset assumptions.
- Review subsequent disclosures on litigation, restructuring, China pricing and demand, inflation, interest rates, and foreign-exchange exposure.
