Guidance, outlook, commentary and risks

Management expected 2014 revenue to increase modestly in excess of weighted-average nominal GDP growth in major markets, excluding foreign-exchange effects and assuming continued operating improvement and new business activity. Management also expected sufficient liquidity for 2014 nondiscretionary requirements and discretionary spending.

Based on exchange rates as of October 15, 2014, management expected foreign exchange to reduce fourth-quarter 2014 revenue by approximately 2%. The company continued to pursue selective acquisitions focused on strategic capabilities, emerging markets and marketing technologies.

  • Principal risks include client spending reductions, slower client payments, client credit deterioration, media and production purchase commitments, economic weakness, foreign-currency volatility and restrictions on cash repatriation.
  • The company is exposed to interest-rate risk because swaps economically convert portions of the 2022 and 2020 senior notes from fixed to floating rates.
  • Goodwill was not impaired in the June 30, 2014 annual test; management noted that changes in valuation assumptions or economic conditions could result in future impairment charges.
  • Unrecognized tax benefits totaled $139.3 million at September 30, of which approximately $58.5 million could affect the effective tax rate upon resolution.
  • Merger-related shareholder litigation was dismissed in May 2014. Management did not expect other ordinary-course legal proceedings to have a material adverse effect.
  • Management reported effective disclosure controls and internal control over financial reporting as of September 30, 2014, with no material changes during the quarter.

Investor verification points

  • Verify whether organic revenue growth and operating margins remain sustainable after the strong Q3 comparison and the absence of significant merger expenses.
  • Monitor cash conversion and working-capital requirements, given operating cash flow of only $33.1 million during the first nine months.
  • Assess the effect of foreign-exchange movements on fourth-quarter revenue and international earnings.
  • Review the impact of resumed share repurchases, dividends and acquisition payments on liquidity and leverage.
  • Track refinancing requirements for the $1.0 billion of senior notes due in 2016 and the company’s continued access to commercial paper and credit markets.
  • Evaluate sensitivity to client spending, client credit quality, contingent acquisition obligations and goodwill valuation assumptions.
