All current-period revenue came from the Gedeon Richter agreement, including recognition of upfront license consideration and a milestone triggered by initiation of the U.S. Phase 3 program. The filing reports no product-sales revenue. Profitability is therefore tied to collaboration/license revenue, not demonstrated recurring product operations; no gross-margin figure is presented. Six-month net income also included a $531,508 tax benefit from the sale of New Jersey tax-loss carryforwards. Management expects a significant loss for the fiscal year ending June 30, 2015 and further losses in future years.
Financial position and funding
- At December 31, 2014, cash and cash equivalents were $42.69 million, accounts receivable were $3.04 million, and current assets totaled $47.21 million. Current liabilities were $5.12 million.
- Total liabilities were $14.92 million, including a $10.0 million venture loan, reported net of discount at $9.73 million. The loan bears interest at one-month LIBOR (0.50% floor) plus 8.50%, has 18 months of interest-only payments, and is secured by substantially all assets other than intellectual property. A $500,000 final payment is due at maturity; prepayment penalties and default provisions also apply.
- Six-month financing cash flow was $29.09 million, principally from the December private placement and venture loan. The placement generated $20.0 million gross proceeds; the filing cites approximately $18.6 million net proceeds after estimated offering expenses. Cash increased by $30.51 million during the six months.
- Accumulated deficit was $270.46 million. Management believes available capital will fund planned operations through the quarter ending March 31, 2016, but estimates the bremelanotide Phase 3 program, including regulatory filings, will cost at least $80 million and says additional funding will be needed.
Material changes, outlook, and risks
- Palatin initiated patient enrollment in bremelanotide Phase 3 trials in December 2014. Management estimates 15–18 months from initiation of dosing through database lock; timing and outcome remain uncertain.
- Compared with 2013, revenue and operating results improved substantially due to the Richter agreement. R&D spending increased, primarily with the bremelanotide Phase 3 program. Palatin reported a $152,983 six-month foreign-exchange loss related to euro/U.S. dollar movements.
- Palatin may receive up to €80 million in regulatory and sales milestones under the Richter agreement, plus low-double-digit royalties on licensed-territory net sales. These amounts are contingent; Richter is responsible for commercialization costs in its territory, while the parties share certain European co-development costs.
- The company has no significant recurring revenue and may need further equity, debt, or partnering funds. Financing may be unavailable or on unfavorable terms; failure to raise funds could delay or curtail trials or other programs. Private-placement investor rights of first negotiation and participation may constrain future financings.
- Potential dilution is material: the 2014 placement included warrants for up to 24.95 million shares exercisable at $0.01 per share, and the loan included warrants for 666,666 shares. The filing also cites 121.87 million shares underlying outstanding dilutive securities as of January 31, 2015.
- Other principal uncertainties include clinical-trial results, regulatory approval, commercialization and market acceptance, collaborators’ performance, manufacturing, intellectual-property protection, competition, and the ability to retain financing and key personnel. AstraZeneca is evaluating its melanocortin program; continuation or success is not assured.
- Management reported effective disclosure controls as of December 31, 2014 and no material change in internal control over financial reporting during the quarter. Palatin reported no current legal proceedings.
