Outlook, commentary and risks
The filing provides no numeric revenue or earnings guidance. Management expects continued investment in product development, sales and marketing, implementation capacity and infrastructure; it expects losses for the foreseeable future, while indicating that scale and operating leverage could improve margins over time. Revenue retention was 120% (114% in 2018); annual churn was 5.1% (5.0% in 2018).
Key risks include persistent losses and low operating cash generation; execution and integration of acquisitions; competition and pricing pressure; customer implementation delays and retention; cybersecurity, service outages and dependence on third-party systems and hosting; and changing financial-services, privacy and data-security regulation. The filing also identified the then-recent COVID-19 outbreak as a potential source of economic uncertainty, without quantifying its impact.
Q2 disclosed a potential Cloud Lending earnout of up to $59.5 million, with a $24.1 million estimated fair value at year-end; the first milestone was not achieved and another measurement date was pending. The 2023 notes became convertible at holders’ option for the first quarter of 2020 after the share-price threshold was met; three notes had been converted by the filing date. The company stated it had no material pending legal proceedings and no off-balance-sheet arrangements. The auditor gave an unqualified opinion on the financial statements and internal controls; management’s control assessment excluded the acquired PrecisionLender business.
Investor verification priorities
- Assess whether recurring organic growth, user additions and transaction activity can sustain revenue growth and offset declining gross margin and widening GAAP losses.
- Reconcile adjusted EBITDA with GAAP results, especially stock-based compensation, acquisition expenses, amortization and convertible-note accounting.
- Review PrecisionLender integration, purchase-price estimates, acquired-asset valuations and the remaining Cloud Lending earnout exposure.
- Evaluate liquidity and cash conversion against $546.3 million of note principal, lease obligations and contractual purchase commitments; note interest is 0.75%, but accounting interest expense includes substantial non-cash discount amortization.
- Check the 2023-note conversion activity, potential dilution and any resulting cash or share settlement, as well as future dilution from equity compensation and financing.
- Monitor cybersecurity, regulatory and third-party service risks, and the effect of the COVID-19 outbreak, which the filing did not quantify.
