Outlook, risks, contingencies and unusual items

  • The filing text does not provide a clear numeric 2023 revenue or profit guidance figure. Management states the Group has sufficient liquidity for at least 12 months from approval of the financial statements, including under severe downside scenarios.
  • Management identifies acquisition integration and synergy delivery, inflation and cost pass-through, labour availability, supply-chain disruption, economic weakness, cybersecurity, regulation, foreign exchange and interest rates as key risks.
  • Terminix brought a £303m termite damage claims provision at December 31, 2022, down from £335m at acquisition. Management highlights estimation uncertainty in future claim rates and costs, litigation, customer churn and discount rates. The filing also describes Mississippi litigation concerning Terminix practices; its outcome could not be predicted.

The weaknesses included insufficient technical accounting resources, incomplete segregation-of-duties procedures and deficiencies in IT controls. Remediation was in progress and had not yet been tested for effectiveness.
