Management attributed revenue growth mainly to new products, price increases and acquired businesses, partly offset by lower volume in existing products. Gross-margin improvement reflected pricing, cost initiatives and lower logistics costs, partly offset by inflation and raw-material supply constraints. Operating cash flow increased primarily due to lower tax payments, favorable working-capital changes and improved operating results.
Segments and material changes
- Americas: Revenue $1,715.4 million, up 3.7%; operating profit $453.1 million, up 0.2%.
- EMEA: Revenue $586.2 million, up 5.0%; operating profit $52.2 million, up 22.9%. Revenue benefited in part from favorable currency movements.
- Asia: Revenue $346.9 million, up 13.2%; operating profit $90.1 million, up 8.8%.
- OEM: Revenue $326.0 million, up 19.6%; operating profit $86.2 million, up 31.9%.
- Palette acquisition consideration was $621.9 million, including $594.9 million net cash and $27.0 million estimated contingent consideration. Palette contributed less than 1% of consolidated revenue after acquisition in 2023 and recorded a $5.6 million post-acquisition pretax operating loss.
- The company recorded a $45.2 million pension settlement charge related to lump-sum payments under its U.S. defined-benefit plan. Further settlement costs are expected when remaining benefits are annuitized, which management expected during 2024.
Liquidity, debt and capital resources
Teleflex reported $1.0 billion of senior notes due in 2027 and 2028, plus variable-rate borrowings and $75 million drawn under its accounts-receivable securitization facility. The revolving credit facility is $1.0 billion, with $262 million drawn at year-end; the credit agreement and senior notes were in covenant compliance. Management stated that operating cash flow, available cash and borrowing capacity were expected to fund operating needs, capital expenditures and debt obligations for the next 12 months and the foreseeable future.
2023 investing cash outflow was $621.2 million, primarily reflecting $603.9 million of net acquisition and intangible-asset payments, chiefly for Palette. Financing cash inflow was $38.5 million, including net borrowing proceeds; dividends paid were $63.9 million. A 10% adverse movement in the U.S. dollar/euro rate at settlement of certain cross-currency swaps could require approximately $75 million of payment, according to the filing.
Outlook, risks and unusual items
- No consolidated revenue, earnings or cash-flow guidance is provided in the supplied filing text.
- For the 2023 restructuring plan, Teleflex estimates $15–$19 million of total pretax charges, substantial completion by the end of 2024, and annual pretax savings of $29–$35 million when fully implemented. For the footprint realignment plan, it estimates $11–$15 million of charges, completion by the end of 2027, and annual savings of $2–$4 million when fully implemented. Savings are expected to begin in 2024.
- Management described 2023 cost inflation, interest-rate and currency volatility, geopolitical conflict, healthcare staffing shortages and shifts in sites of care as factors affecting operations. Some logistics-cost inflation and healthcare staffing pressures began to stabilize late in 2023; duration and net impact remain uncertain.
- Key risks include product regulation and reimbursement, competition and product adoption, supply interruptions (including sterilization capacity and ethylene-oxide regulation), distributor destocking, foreign exchange and interest rates, acquisition integration, cybersecurity, product liability, and substantial indebtedness.
- Contingencies to monitor include an Italian medical-device industry payback assessment: $14.5 million reserved, with potential payments estimated up to $22.9 million above the reserve if enforced as currently structured; and a Mexican customs/IMMEX audit for which no loss was recorded because management did not consider a loss probable or estimable, but an unfavorable outcome could be material.
- Goodwill impairment testing resulted in no impairment in 2023. Teleflex warned that reduced demand for bariatric procedures associated with GLP-1 weight-loss treatments could affect its Titan SGS assets and potentially lead to future impairment.
- The independent auditor issued unqualified opinions on the financial statements and internal control over financial reporting. Palette was excluded from the 2023 internal-control assessment and audit because of its recent acquisition.
