Target Corporation — Form 10-Q Summary
Period clarification: The filing covers the quarter ended May 1, 2021 (Q1 2021), not 2020 Q1 as stated in the request metadata. Comparisons below are with the quarter ended May 2, 2020, unless otherwise noted. Amounts are in U.S. dollars.

Management attributed the improved gross margin rate to merchandising actions, lower promotional and clearance markdowns, and a more favorable mix, as well as prior-year purchase-order cancellation fees and inventory impairments. Higher team-member pay and benefits drove most of the $449 million increase in SG&A, but revenue growth lowered the SG&A expense rate to 18.6% from 20.7%.
Balance sheet, liquidity, and capital allocation
- Cash and cash equivalents were $7.816 billion at May 1, 2021, versus $8.511 billion at January 30, 2021, and $4.566 billion a year earlier. Cash includes $6.895 billion of short-term investments.

Material changes, outlook, and notable items
- Sales growth reflected a 22.9% comparable-sales increase and contributions from new stores. Apparel and accessories and home furnishings and décor were notably stronger; management cited recovery in categories that had weakened in early 2020.
- GAAP earnings included a $335 million pretax gain from the February 2021 sale of Dermstore, which generated $356 million in cash proceeds. Management reported adjusted diluted EPS of $3.69, excluding the sale gain and $41 million of headquarters-office impairment charges.
- The prior-year quarter included $216 million of purchase-order cancellation fees in cost of sales. The filing also identifies a prior-year $21 million unrealized investment loss excluded from adjusted EPS.
- The effective tax rate was 19.6%, compared with 13.9%. The current quarter included a $44 million discrete tax benefit from resolution of certain tax matters.
- Target continued to expect approximately $4 billion in full-year capital investments, with most spending planned for the second half. The filing provides no full-year sales or EPS guidance.
- Management described ongoing COVID-19-related volatility in category mix and sales channels. It also cited a multiyear migration of legacy technology systems and resumed annual physical store inventory counts. Target reported no material changes to its previously disclosed risk factors or market-risk exposures.
Important facts for investors to verify
- Confirm the reporting period: this is the quarter ended May 1, 2021, despite the 2020 Q1 metadata.
- Assess how much reported earnings growth reflects the Dermstore gain and unusually weak prior-year comparisons; compare GAAP EPS with adjusted EPS and its reconciliation.
- Evaluate whether strong comparable-sales growth and improved margins persist as COVID-related demand and category mix change.
- Track operating cash conversion, inventory levels, planned capital spending, debt and borrowings, and share repurchases against liquidity and credit-rating priorities.
- Review the risks associated with the technology-system migration, inventory controls, and the forward-looking assumptions described in the filing.
