The year-end cash balance includes $18.3 million of restricted cash.

Material changes versus the prior comparable period

  • Income increased, driven mainly by higher investment yields and a greater average principal balance of income-bearing debt. The weighted average yield at origination for 2023 fundings was 15.6%, versus 14.2% in 2022.
  • Investment activity contracted substantially: debt commitments were $31.5 million versus $593.7 million; funded debt investments were $125.3 million versus $416.6 million. Principal prepayments and early repayments totaled $131.6 million, in addition to $47.5 million of scheduled amortization.
  • Portfolio fair value fell by $147.1 million, and NAV per share declined by $2.67. Net realized and unrealized losses increased to $113.6 million from $83.6 million.
  • Credit indicators weakened: the weighted average debt-investment risk ranking moved to 2.14 from 2.06 (lower is better); five companies with $29.0 million fair value were on non-accrual, compared with one company at $9.1 million. At year-end, 16.1% of debt-investment fair value was rated Yellow, 5.5% Orange and 0.1% Red.
  • Unfunded commitments decreased to $118.1 million across 14 companies from $324.0 million across 37. The company states that commitments may expire undrawn and estimates that 50%–75% will ultimately be drawn.

Outlook, risks, contingencies and unusual items

  • Outlook: No earnings, yield or distribution guidance is provided. Management says liquidity is expected to cover operations and unfunded commitments, relying on cash, available facility capacity, portfolio receipts and potential capital-market access. From January 1 through March 5, 2024, the company closed $10.0 million of additional debt commitments, funded $12.4 million of investments and had $93.6 million in non-binding signed term sheets subject to diligence, documentation, approval and allocation.
  • Funding and leverage: Year-end Credit Facility availability was $135 million; its revolving period was scheduled to expire May 31, 2024, with facility maturity November 30, 2025. Asset coverage of 157% was only modestly above the 150% statutory minimum. The facility and notes have financial, eligibility and key-person covenants; the company reported compliance at year-end.
  • Portfolio, valuation and market risks: Most investments are illiquid Level 3 assets valued using significant unobservable inputs. The auditor identified Level 3 valuation as a critical audit matter, although it issued unqualified opinions on the financial statements and internal controls. Venture-backed borrowers may depend on future equity funding or exits; management cites subdued IPO/M&A activity, inflation, interest rates, market volatility and geopolitical risks.
  • Non-cash income and distributions: PIK interest, original issue discount and end-of-term payments can be recognized as income before cash is received. The company declared and paid $1.60 per share in 2023 and declared $0.40 per share for Q1 2024. It recorded $1.4 million of federal excise tax for 2023 and estimated $41.5 million, or $1.10 per share, of undistributed taxable earnings at year-end, which it expected to distribute in 2024. Distribution amounts and tax character are not assured.
  • Losses and litigation: 2023 realized losses were attributed primarily to write-offs involving Hi.Q, Luko, Untitled Labs, Catch Co. and VanMoof. A putative securities class action and shareholder derivative actions were pending; the derivative cases were consolidated in March 2024. Damages and other relief sought are unspecified, and outcomes are uncertain.
  • Concentration and conflicts: The portfolio is concentrated in venture-growth borrowers and technology/high-growth industries; the largest listed industry categories included e-commerce clothing/accessories (15.8%) and consumer products/services (15.6%). The adviser is affiliated with TPC, creating deal-allocation, valuation and fee conflicts. The 1.75% base fee is assessed on average adjusted gross assets, including assets financed with borrowings.

Most important facts for investors to verify

  • Review the five non-accrual exposures, the Orange/Red-rated borrowers, recent downgrades and the underlying assumptions supporting their fair values.
  • Assess whether portfolio cash collections, prepayments and new originations can sustain net investment income and the $0.40 quarterly distribution while NAV has fallen.
  • Confirm the Credit Facility’s post-May 2024 revolving-period terms, refinancing plans, covenant headroom and liquidity available after funding commitments.
  • Examine the causes and recoverability of the $75.8 million realized losses, particularly the named write-offs, and the sensitivity of the remaining Level 3 valuations.
  • Track the legal proceedings, the $41.5 million undistributed taxable income and excise-tax implications, and the extent to which distributions are covered by cash income rather than non-cash accruals.
