The revenue-earning asset base reached $11.8 billion, up more than 30%. The filing does not provide a single reported gross-margin figure.

Cash used in investing activities was $3,217.4 million, primarily reflecting fleet purchases. Triton purchased $3.6 billion of new containers during the year. Cash provided by financing activities was $1,890.8 million. Year-end restricted cash was $124.4 million. Management reported $1,788.0 million of remaining borrowing capacity under existing facilities; separately, disclosed availability under specified facilities without adding assets to the borrowing base was $1,034.2 million.

Material changes versus 2020

  • Lease revenue increased by $226.0 million, primarily from more containers on hire and higher average dry-container rates. Average dry-container rates increased 6.1%; refrigerated-container rates fell 4.2%, and special-container rates fell 0.8%.
  • Operating income increased by $293.7 million. Higher utilization and lease revenue, lower direct operating expenses, and larger disposal gains contributed to the improvement.
  • Used dry-container average selling prices rose 117.6%, while sales volumes fell 61.7%; the net gain on leasing-equipment sales increased to $107.1 million.
  • Interest and debt expense fell $31.0 million to $222.0 million, despite higher average debt, as the average effective interest rate declined to 2.91% from 3.81%.
  • Debt termination expense increased to $133.9 million from $24.7 million, mainly due to make-whole premiums and related costs for redeeming institutional notes.
  • Debt net of unamortized costs increased by about $2.2 billion. Triton issued $2.3 billion of corporate notes and $1.2 billion of asset-backed securities, and repaid its remaining institutional notes.

Outlook, risks and unusual items

Management attributed 2021’s strong results to robust trade, high container demand, logistical disruptions that slowed container circulation, and limited equipment availability. The filing says these conditions are expected eventually to fade; timing is uncertain. Triton expects container prices, market lease rates, and key operating metrics to move toward historically normal levels as trade growth normalizes and supply-chain bottlenecks ease. It does not provide numerical earnings guidance.

Management believed operating cash flow, cash, equipment-sale proceeds, and facility availability would be sufficient to meet obligations over the next 12 months. The company was in compliance with debt covenants at year-end. Scheduled principal payments for 2022 were $477.6 million, and committed but unpaid capital expenditures were $586.1 million.

  • Customer concentration: The five largest customers generated 60% of lease billings; the largest alone generated 21%. A default or reduction in business from a major customer could materially affect results and liquidity.
  • Market-cycle exposure: Lower trade, utilization, lease rates, or used-container prices could pressure revenue, resale gains, cash flow, and asset values. High 2021 prices and disposal gains may not persist.
  • Leverage and refinancing: Debt was substantial, and debt agreements impose restrictions and financial covenants. Rising borrowing costs, refinancing constraints, or covenant breaches could harm liquidity.
  • Interest-rate transition: $3.1 billion of debt was tied to floating-rate indices, and $1.9 billion of swaps were LIBOR-indexed. The company said the effect of replacement benchmarks on expense was uncertain.
  • Other risks: COVID-19 resurgence, trade barriers, dependence on a concentrated group of China-based manufacturers, logistics and repositioning costs, environmental rules, and cyber or operational disruptions.
  • Unusual items: The $133.9 million debt termination expense included make-whole premiums, including $127.9 million paid in connection with prepayments of institutional notes. The company reported no leasing-equipment impairment charges in 2021 and no goodwill impairment.

Subsequent events included a $600 million corporate note offering in January 2022 at 3.25%, due in 2032, and a declared $0.65 quarterly common dividend in February 2022.

Important facts for investors to verify

  • Whether near-maximum utilization and elevated lease and resale prices are sustainable as supply chains and trade conditions normalize.
  • Customer credit quality and exposure to the largest shipping-line customers, including the concentration in finance leases.
  • Debt maturities, borrowing-base availability, covenant headroom, and the cost and terms of refinancing.
  • How used-container residual values and depreciation assumptions compare with future resale prices; residual values were identified as a critical audit matter.
  • The effect of LIBOR transition, interest rates, and future U.S. tax limitations on interest deductions and cash taxes.
  • Capital allocation among fleet investment, debt reduction, dividends, and share repurchases as market conditions change.
