Debt carrying value was $396.6 million, principally $400 million of 4.50% senior notes due 2028; no revolving-credit borrowings were outstanding. The company reported $389.0 million of liquidity, defined as cash plus available revolver capacity, down from $516.1 million at year-end. The $350 million revolver matures in September 2027. The company was in compliance with debt covenants.
Material changes versus prior year
- Sales fell 17.0%, primarily as lower trailer volumes—especially dry vans—outweighed higher revenue per unit. TS sales declined 18.6%; P&S sales grew 4.4%.
- Gross profit declined $39.6 million and gross margin contracted 3.9 percentage points, mainly because of lower volume against relatively consistent fixed manufacturing costs. TS gross margin was 13.4%, versus 17.9%; P&S gross margin improved to 27.1%, from 26.4%.
- Common-stockholder net income fell to $18.2 million from $51.2 million. The effective tax rate increased to 26.0% from 21.3%.
- Operating cash flow shifted from a $69.5 million source to a $17.4 million use. Working capital used $53.4 million, including a $64.7 million increase in receivables; management cited shipment and customer-payment timing.
- Backlog at quarter-end was $1.803 billion, down 5% from December 2023 and 41% from March 2023. The rolling 12-month backlog was $1.511 billion, down 42% year over year; orders fulfilled outpaced new orders, and management cited softer demand.
Outlook, commentary, and risks
- No specific company revenue or earnings guidance is provided. Management expects to fund working capital, capital expenditures, and its Trailers as a Service initiative from operations or available revolver capacity as needed.
- For 2024, Wabash estimates property, plant, and equipment capital spending of $75–$85 million and TAAS revenue-generating asset spending of $40–$50 million. Q1 included no TAAS revenue-generating asset expenditures.
- Management cited ACT and FTR estimates of 2024 U.S. trailer production of approximately 252,000 and 240,000 units, respectively, implying declines of 20.9% and 25.0% from 2023. These are industry forecasts, not company guidance. Management described uncertainty and softening demand, while emphasizing cost management, operational flexibility, diversification, and liquidity.
- Risks include cyclical demand, raw-material and component price volatility, reliance on key suppliers, possible supply shortages, manufacturing execution, and competition. Raw-material purchase commitments totaled $43.4 million through December 2024; a hypothetical 10% commodity-price change would affect cost of goods sold by approximately $4.3 million, before competitive or management responses.
- Wabash recorded a $1.5 million share of losses from Linq, its 49%-owned digital marketplace venture; the investment balance was $0.2 million at quarter-end. The company has a $10 million committed revolving line available to Linq, with potential increase subject to approval; none was drawn at March 31. Wabash says its maximum exposure is its initial contribution and any amounts borrowed under that line.
- The company paid $4.2 million in dividends and repurchased $22.1 million of stock, including employee tax-withholding repurchases. A new $150 million repurchase authorization was approved in February; $172.9 million remained available at quarter-end.
- Management said existing litigation and investigations were not expected to materially affect consolidated financial condition or liquidity, but noted outcomes are unpredictable. A California wage-and-hour settlement was paid in Q1 2024, with closure expected in Q2. Environmental and product-liability matters remain disclosed contingencies.
Important facts for investors to verify
- Whether trailer demand, shipment volumes, and backlog stabilize, and how quickly lower volumes affect margins.
- Whether receivables convert to cash as expected and liquidity remains adequate as working-capital needs and planned capital spending continue.
- Execution and returns on the $40–$50 million planned TAAS investment and the strategic ventures, including Linq.
- Actual 2024 capital spending, cash generation, commodity costs, and the use of the expanded share-repurchase authorization.
- Developments in litigation, supplier availability, and other disclosed contingencies and risks.
