Business context and reporting period
Vistra Energy Corp. (the registrant named in this filing) filed this unaudited Form 10-Q for the quarter and nine months ended September 30, 2017. The Texas-based integrated power company operates generation and wholesale activities through Luminant and retail electricity activities through TXU Energy.
Comparisons require caution: Vistra adopted fresh-start accounting upon emergence from bankruptcy on October 3, 2016. The 2017 Successor and 2016 Predecessor periods are not directly comparable; presentation of commodity hedge results also differs.
Financial results and position
| Metric | Q3 2017 | Nine months 2017 |
|---|---|---|
| Operating revenue | $1.833 billion | $4.487 billion |
| Operating income | $452 million | $658 million |
| Net income | $273 million | $325 million |
| Diluted earnings per share | $0.64 | $0.76 |
| Operating margin | 24.7% | 14.7% |
| Net margin | 14.9% | 7.2% |
Margins are calculated from reported revenue and income. Results included substantial unrealized commodity-hedging gains: management cited $235 million in Q3 and $362 million for the nine-month period in Wholesale Generation. Retail was affected by mild weather; Q3 Retail Electricity reported a $3 million operating loss, while nine-month operating income was $54 million.
For the nine months, operating cash flow was $845 million. Investing activities used $597 million, including $355 million for the Odessa plant and $129 million for Upton solar development. Financing activities used $37 million. Cash and cash equivalents were $1.054 billion at September 30, up $211 million from year-end 2016.
Total debt, including currently due amounts and mandatorily redeemable subsidiary preferred stock, was approximately $4.584 billion; $44 million was current. The company reported $2.084 billion of available liquidity, including cash and unused revolving and letter-of-credit capacity. Its $650 million restricted-cash collateral account is excluded from available cash. Management said it expected sufficient liquidity for at least 12 months.
Total assets were $15.0 billion, total liabilities $8.065 billion and equity $6.935 billion. No dividends were declared or paid in the first nine months.
Changes, outlook and material items
- Q3 revenue increased from $1.690 billion in the 2016 Predecessor period, while operating income declined from $640 million to $452 million. The periods are not directly comparable, and 2016 included $336 million of separately presented commodity hedging and trading gains. Nine-month 2017 net income of $325 million compares with a $656 million net loss in the 2016 Predecessor period, which included substantial bankruptcy-related interest and reorganization items.
- A nuclear-unit outage from June through August reduced Wholesale Generation results by an estimated $47 million in Q3 and $74 million for the nine months. The filing says the issue involved the steam turbine generator, not the nuclear reactor.
- In September, Vistra decided to retire Monticello and recorded a $24 million charge. In October, it announced retirement plans for Monticello, Sandow and Big Brown, representing 4,167 MW in total, subject to ERCOT reliability review. Management estimated $70–$90 million of additional fourth-quarter charges for Sandow and Big Brown retirements, plus further asset-retirement-obligation adjustments.
- In October, Vistra received $238 million from Alcoa for early termination of agreements associated with Sandow Unit 4 and the Three Oaks Mine. Management expected the settlement to produce a fourth-quarter gain; final accounting impacts were not yet reported.
- In August, Vistra acquired the 1,054 MW Odessa gas plant for about $355 million plus a five-year earn-out. The 180 MW Upton solar project was expected to begin operations in summer 2018.
- The Q3 tax-receivable-agreement line contributed $138 million of income, including a $160 million reduction in the estimated obligation from revised assumptions, partly offset by accretion. The obligation’s carrying value was $500 million at quarter-end; estimated undiscounted payments totaled about $2.2 billion. Vistra expected another adjustment in Q4 following plant retirement announcements and the Alcoa settlement.
- At October 20, management reported hedging 100% of 2017 and 82% of 2018 natural-gas price exposure, and 87% and 67% of heat-rate exposure, respectively. These positions do not eliminate longer-term commodity-price risk.
- On October 29, Vistra agreed to merge with Dynegy in a stock transaction at a fixed exchange ratio of 0.652 Vistra shares per Dynegy share. The transaction was subject to stockholder and regulatory approvals and other conditions; specified termination circumstances could require Vistra to pay a $100 million fee.
- Environmental and legal matters include appeals and proceedings involving Clean Air Act enforcement, regional haze and air-quality designations. The filing says adverse outcomes could require substantial capital spending, operational changes, penalties or plant retirements; financial effects were not estimable for certain matters.
- Management identified no material change to previously disclosed risk factors other than merger-related risks and reported disclosure controls were effective.
Most important facts to verify
- Review underlying filings and disclosures for the fresh-start accounting break and the placement and impact of mark-to-market gains when comparing periods.
- Track ERCOT reliability reviews, actual closure timing and costs for the 4,167 MW of announced retirements, and the resulting generation, mining-reclamation and TRA impacts.
- Confirm the final accounting and cash-flow effects of the $238 million Alcoa settlement and the expected fourth-quarter gain.
- Monitor Dynegy merger approvals, integration assumptions, fixed exchange-ratio dilution and potential termination payments.
- Assess recurring operating cash generation and liquidity against debt maturities, collateral requirements, commodity exposure, environmental obligations and the estimated TRA payments.
