Gross profit (loss)($11.7) million$5.2 million
Gross margin(70.2)%14.1%
Operating loss($42.5) million($22.5) million
Consolidated net loss($44.4) million($21.1) million
Net loss attributable to FuelCell Energy($19.8) million($18.6) million
Net loss attributable to common stockholders($20.6) million($19.4) million
Loss per common share, basic and diluted($0.05)($0.05)
Net cash used in operating activities($58.3) million($53.4) million
  • Revenue fell 55%. Product revenue was zero, versus $9.1 million in the prior period; service revenue declined 88% to $1.6 million, primarily because there were no module exchanges. Generation revenue increased 10% to $10.5 million, while Advanced Technologies revenue was nearly unchanged at $4.6 million.
  • Generation remained loss-making: costs were $20.9 million against $10.5 million of revenue, a gross loss of $10.4 million and margin of (99.1)%. Overall costs of revenue declined only 11%, substantially less than the revenue decline.
  • Operating expenses were $30.8 million, up from $27.7 million, including administrative and selling expenses of $16.4 million and R&D of $14.4 million. Management attributed the increases mainly to added staffing and development work.
  • Interest expense was $2.3 million; interest income was $4.1 million. Other expense included a $3.5 million fair-value loss on the OpCo interest-rate swap. A $1.9 million natural-gas derivative loss also affected generation costs.
  • At January 31, unrestricted cash and cash equivalents were $297.5 million, versus $250.0 million at October 31, 2023. Restricted cash was $51.3 million, including $45.4 million classified as long-term. Short-term investments were zero after Treasury securities matured.
  • Cash and restricted cash increased $49.2 million during the quarter. Investing cash flow was positive $86.9 million, largely reflecting Treasury security maturities, while financing provided $20.6 million, including $25.1 million of tax-equity contributions. Operating cash use increased year over year, with inventory growth among the key uses.
  • Debt and finance obligations had a net carrying amount of $117.4 million, of which $10.2 million was current. The company reported $110.7 million of net debt related to project assets; future principal and interest payments on that project debt were $134.8 million.
  • Current assets were $445.2 million and current liabilities $53.9 million. Inventory was $105.6 million, including $67.3 million of work in process; unbilled receivables were $22.5 million current, with additional contract assets classified in other assets.

Material changes and operating developments

  • The company’s generation portfolio expanded to 62.8 MW from 43.7 MW a year earlier. Toyota and the 14.0 MW and 2.8 MW Derby projects entered commercial operation in December 2023; Groton reached its 7.4 MW rated output during the quarter.
  • Project assets were $260.8 million. Operating project assets increased as Toyota and Derby became operational; construction-in-progress project assets fell from $90.6 million to $0.7 million.
  • Manufacturing ran at an annualized 33.2 MW rate at Torrington, compared with 38.2 MW a year earlier, which management attributed primarily to moderating production for demand timing.
  • Total backlog was approximately $1.03 billion, down from $1.06 billion a year earlier. It included $140.4 million of service backlog, $0.86 billion of generation backlog and $23.4 million of Advanced Technologies backlog; product backlog was zero. Backlog is contracted potential revenue and remains subject to performance and, for projects, completion.
  • The company received an $11.6 million purchase order from Esso Nederland for fuel-cell modules and related services for a Rotterdam carbon-capture pilot plant.
  • Common shares outstanding were 451.9 million at January 31, 2024, versus 450.6 million at October 31, 2023; weighted-average shares for the quarter were 451.6 million, compared with 405.8 million a year earlier.

Outlook, risks and unusual items

  • Management expects available unrestricted cash, anticipated contracted-backlog receipts and release of short-term restricted cash, net of expected disbursements, to fund obligations for at least 12 months from issuance of the statements. The company has not achieved profitable operations or sustained positive operating cash flow.
  • For FY2024, management expects service-agreement revenue to be lower than FY2023 and currently does not expect module exchanges until Q4. It estimated remaining FY2024 project-asset investment at $7–10 million, property, plant and equipment expenditures at $60–75 million, and company-funded R&D expense at $60–70 million.
  • Management identified continued dependence on project execution and financing, higher order volumes, cost reductions, working-capital management, commercializing solid-oxide, hydrogen and carbon-capture products, and access to debt and equity capital as important to future liquidity and profitability.
  • Capacity plans include a Calgary solid-oxide expansion intended to support up to 40 MW of annual SOEC production, with completion expected by mid-FY2024. The company also described potential longer-term U.S. manufacturing expansion; plans depend on market demand and investment decisions.
  • Fuel procurement and price exposure are material risks for certain projects, including Toyota, Derby and Yaphank. Existing fixed-price fuel contracts cover limited periods; unfavorable fuel economics or inability to obtain supply could cause impairment charges. The company also faces project performance, construction-cost, demand, supply-chain, financing and interest-rate risks.
  • Quarterly results included a $24.6 million net loss allocated to noncontrolling interests, primarily a nonrecurring $20.7 million Derby tax-equity allocation driven by the investment tax credit under the HLBV method. This reduced the loss attributable to FuelCell Energy relative to consolidated net loss; it is not operating profit.
  • Unconditional purchase commitments totaled $95.4 million. A Connecticut state loan employment obligation requires retention of 538 full-time Connecticut positions under the amended terms; failure to meet the requirement could trigger a penalty of $14,225 per position below the requirement. Management said ordinary-course legal proceedings were not expected to have a material adverse effect and reported no material accrued amounts. No material changes to previously disclosed risk factors were reported.

Important facts for investors to verify

  • Whether operating cash burn, inventory investment and project working-capital needs remain consistent with management’s 12-month liquidity assessment.
  • Whether new and existing generation projects meet output, cost and performance expectations, and whether negative generation margins improve.
  • Progress against FY2024 capital spending, R&D spending and Calgary manufacturing-expansion plans, including the timing and funding of those investments.
  • Fuel-contract coverage and economics for Toyota, Derby and Yaphank, and any resulting derivative remeasurement or project impairment.
  • Availability and terms of future project financing, tax equity and corporate capital; restricted cash is pledged for reserves, performance security and letters of credit.
  • Backlog conversion, particularly the distinction between long-term contracted generation revenue and near-term cash generation, and the timing of the Esso order’s revenue recognition.
  • Potential share dilution: no ATM sales occurred in the quarter, but additional sales require a prospectus supplement; the filing also describes contingent employee awards requiring stockholder approval.
