ABM Industries Inc. — Q1 FY2023 Form 10-Q
Reporting period: Three months ended January 31, 2023, compared with the three months ended January 31, 2022. ABM provides integrated facility services across B&I, Manufacturing & Distribution (M&D), Education, Aviation, and Technical Solutions.
Financial results
- Revenue: $1,991.3 million, up 2.8% from $1,936.2 million. Growth included contributions from the Momentum and RavenVolt acquisitions and organic expansion, partly offset by fewer disinfection-related work orders. The filing gives inconsistent organic-growth figures: 0.6% in its highlights and 0.9% in the detailed results.
- Profit and margins: Operating profit was $71.4 million, down 32.6%; operating margin was approximately 3.6%, versus 5.5% a year earlier. Gross margin fell to 12.1% from 14.3%. Net income declined to $38.5 million from $76.0 million; diluted EPS was $0.58 versus $1.11.
- Cash flow: Operating cash use was $70.9 million, compared with $93.6 million used in the prior-year quarter. Investing cash use was $12.5 million; financing provided $96.2 million. Cash ended the period at $87.9 million.
- Debt and liquidity: Debt, net of financing costs, totaled $1,384.9 million ($181.5 million current and $1,203.4 million long-term). The weighted-average borrowing rate was 6.17%, up from 4.97% at October 31, 2022. ABM reported $563.3 million of borrowing capacity and compliance with its credit covenants. Management said available operating cash flow and borrowing capacity were sufficient for anticipated requirements over the next 12 months.
- Other financial items: Interest expense rose to $19.8 million from $6.2 million, primarily due to acquisition-related borrowings and higher rates. The effective tax rate was 26.9%, versus 24.2%. Dividends paid were $14.4 million, or $0.220 per share.
Material changes and drivers
- Revenue grew across all five reportable segments, with M&D and Aviation each up 6.0%. Segment operating profit declined in B&I, Education, Aviation, and Technical Solutions; M&D was approximately flat.
- Lower-margin results reflected higher direct labor costs and constrained labor availability, contract and service mix, and reduced high-margin disinfection work. The prior-year quarter also benefited from a $25.2 million favorable adjustment to prior-year insurance reserves, which did not recur.
- Technical Solutions operating profit fell to $7.2 million from $16.9 million. The prior-year period included a $7.7 million gain on the sale of healthcare technology management contracts; current results also included RavenVolt intangible amortization and the impact of supply-chain equipment delays.
- Corporate expenses increased by $15.7 million, including higher technology transformation costs under ELEVATE. ABM expects total ELEVATE investments of $150–$175 million over the program’s life.
- Acquisition activity included RavenVolt, acquired in September 2022, and Momentum, acquired in April 2022. RavenVolt contributed $18.3 million of quarterly revenue and an operating loss of $2.1 million. Its deal includes contingent consideration of up to $280 million, subject to performance targets.
Outlook, risks, and contingencies
- The filing provides no specific earnings or revenue guidance. Management stated it expects liquidity sources to cover cash requirements for the next 12 months, including working capital, debt service, dividends, capital spending, insurance claims, legal settlements, and ELEVATE investments.
- Key risks include labor shortages and wage inflation, client retention and competitive pressures, economic weakness, interest rates and borrowing needs, acquisition execution, self-insured claims, litigation, and technology or internal-control disruptions. ABM stated that risk factors had not materially changed from its FY2022 Form 10-K.
- Insurance claim reserves were $564.7 million, excluding medical and dental reserves. The first-quarter actuarial review required no adjustment to prior-year reserves; actual claims development could differ from estimates.
- Accrued probable litigation losses were $29.8 million. Management estimated reasonably possible losses, where estimable, at between zero and $4 million, while noting this is not the maximum possible exposure. ABM stated it was not then party to any material legal proceedings.
- Energy-savings guarantees totaled $239.5 million and extend through 2043; ABM reported no material historical losses on these guarantees. Ongoing state sales-tax audits could adversely affect results.
- The $150 million receivables repurchase facility was extended through March 30, 2023, and had $150 million outstanding at quarter-end. Its subsequent renewal or replacement is an important liquidity item to monitor.
Important facts for investors to verify
- Resolve the filing’s inconsistent organic revenue-growth figures (0.6% versus 0.9%) and assess underlying growth excluding acquisitions and reimbursements.
- Track whether labor costs, disinfection-related demand, contract mix, and equipment delays continue to pressure segment margins.
- Monitor debt, borrowing costs, covenant headroom, and the status of the receivables facility after its March 30, 2023 extension date.
- Assess RavenVolt’s operating performance against earn-out targets and the potential cash cost of contingent consideration.
- Follow insurance reserve development, litigation and sales-tax audit outcomes, and spending and benefits from ELEVATE initiatives.
