Nine-month revenue grew 3.5%; management attributed $12.3 million (2.2%) to organic growth and $7.5 million (1.3%) to acquisitions. Gross profit and operating income rose in both periods, while quarterly net income fell substantially, principally amid higher other expense and taxes.

Contractor and Engineered Building Solutions grew revenue; Specialized Reliability revenue declined 7.2%, partly due to a temporary quarter-end shipment delay. Engineered Building Solutions’ operating margin improved to 12.7% from 9.2%.

Material changes, outlook and risks

  • Quarterly gross margin increased 3.8 percentage points; nine-month margin increased 2.8 points. Management cited pricing and lower ocean and domestic freight costs. SG&A rose 8.7% for the quarter and 6.6% for nine months, including higher compensation, travel and other costs.
  • Quarterly other expense was $8.4 million, including a noncash $8.5 million expense from expiration/release of tax indemnification assets tied to the TRUaire and Falcon acquisitions. The item was not tax-deductible. Quarterly effective tax rate was 43.2%, versus 14.7% a year earlier; the nine-month rate was 28.4%, versus 22.6%.
  • Management provided no specific revenue or earnings guidance. Its fiscal 2024 outlook emphasizes maintaining a strong balance sheet, organic investment, disciplined strategic acquisitions, facility investment and returns to shareholders through dividends and repurchases. The quarterly dividend was $0.19 per share, declared for payment in February 2024.
  • Key exposures include variable interest rates, foreign exchange, demand and pricing, supply-chain and transportation conditions, acquisition performance and integration, and geopolitical uncertainty. Management said the Russia-Ukraine and Israel-Gaza conflicts were not then expected to have a material impact, while noting uncertainty. It reported no pending legal matters expected to materially affect the company and no material changes to previously disclosed risk factors.

Important facts for investors to verify

  • Whether the Specialized Reliability segment’s quarter-end shipment delay reversed in subsequent periods.
  • How much of the margin improvement from pricing and lower freight costs is sustainable, and whether cost growth continues to outpace revenue.
  • The future cash and earnings effects of the remaining uncertain tax positions: $14.3 million related to TRUaire and $2.4 million related to Falcon; the filing says $0.8 million of existing reserves are expected to settle or expire within 12 months.
  • Subsequent debt, interest-rate, acquisition and capital-allocation developments, including compliance with facility covenants and execution of the company’s outlook.
