  • Nine-month operating cash flow was $103.8m from continuing operations, versus $23.5m a year earlier; the improvement primarily reflected working-capital changes, including inventory reductions and higher accounts payable. Investing cash outflow was $75.6m, including the Indoff purchase; financing cash outflow was $22.3m.

Changes, acquisition and outlook

  • Reported Q3 sales rose 18.8%, including Indoff; excluding Indoff, sales increased 3.2%, as volume improvement more than offset continued price deflation. Nine-month sales rose 5.4% reported, but declined 2.4% excluding Indoff.
  • Q3 gross margin fell 290 basis points year over year, including a 170-basis-point impact from Indoff’s lower-margin mix. Excluding Indoff, margin declined 120 basis points to 34.5%, reflecting promotions, freight actions and the sale of certain higher-cost cooling inventory. Nine-month margin fell 190 basis points.
  • Q3 operating income increased 2.5% reported, but declined 6.5% excluding Indoff. Nine-month operating income declined 14.2% reported and 18.3% excluding Indoff; management cited earlier-period sales weakness, lower gross margin, and severance and salary-related costs.
  • On May 19, 2023, the company acquired Indoff for approximately $72.6m in cash. Indoff contributed $46.4m of Q3 revenue and $1.9m of Q3 net income. Preliminary purchase accounting included $35.1m goodwill and $30.3m acquired intangible assets; valuation and working-capital allocation remained subject to finalization. The acquisition adds approximately $3.0m annual book amortization expense.
  • Management said customer demand remained tentative, while positive sales trends continued into early Q4 and price pressures were expected to moderate further during the quarter. It expects lower consolidated gross-margin rates in future periods than historical levels and noted potential margin variability from economic conditions, inflation and seasonality. No quantitative revenue or earnings guidance was provided.
  • Management expects 2023 capital expenditures of $5m–$6m and believes cash, operating cash flow and revolver availability can fund requirements for at least 12 months. The company plans continued investment in digital capabilities and distribution operations.

Risks, contingencies and unusual items

  • Key disclosed risks include economic and customer-spending weakness, inflation and interest rates, competitive pricing and margin pressure, supply-chain and freight disruption, tariffs, inventory obsolescence, labor availability, e-commerce or cybersecurity disruption, and acquisition integration.
  • The company is involved in ordinary-course legal, tax, trade and intellectual-property matters. It said accrued amounts were recorded where appropriate and that reasonably possible losses beyond accruals were not expected to be material, while outcomes remain unpredictable.
  • Indoff’s purchase-price allocation is preliminary and could change, potentially materially. Management excluded Indoff’s internal controls from its disclosure-controls evaluation while integration continues; management concluded disclosure controls were effective.

Important facts for investors to verify

  • Whether core sales growth excluding Indoff persists, particularly given the nine-month decline and tentative demand commentary.
  • Whether gross-margin pressure moderates as expected and how Indoff’s lower-margin mix affects consolidated profitability.
  • Final Indoff purchase accounting, integration performance, and the ongoing amortization burden.
  • Whether strong operating cash flow is sustained after the favorable working-capital contribution, and how dividends, leases and future acquisitions affect liquidity.
  • Developments in legal and tax matters, supply-chain risks, and integration of Indoff into internal controls.
