Changes, outlook and notable items

  • Sales weakness reflected lower office-furniture project activity and subdued small-business confidence, as well as lower hearth new-construction and retail pellet demand. Management cited economic uncertainty, acquisition integration impacts, low oil prices and warm weather. Acquisitions and divestitures of small office-furniture companies added net sales of $9.4 million in Q3 and $20.6 million year to date.
  • Management attributed improved year-to-date gross margin to operational performance, price realization, material costs and productivity, partly offset by lower volume. It remained optimistic about long-term market prospects but gave no specific earnings or sales forecast.
  • Management expected 2016 capital expenditures of approximately $130–$135 million and positive operating cash flow for the year. It stated liquidity was expected to be adequate for at least the next 12 months.
  • On October 7, 2016, HNI approved closing its Orleans, Indiana office-furniture facility and consolidating production, with completion expected by the end of 2017. Estimated annual cash savings are $6.9 million beginning in 2018; estimated pretax charges are $21.1 million.
  • Q3 and year-to-date results included restructuring and transition costs, primarily tied to the Paris, Kentucky hearth-facility closure and office-furniture facility realignments. The nine-month period also included a $2.0 million nonrecurring litigation-settlement gain and $1.6 million accelerated depreciation related to a charitable building donation.
  • HNI acquired a small office-furniture company in January for approximately $34 million net of cash acquired; its annual sales were approximately $30 million. Purchase-price allocation remained preliminary.
  • HNI repurchased 608,500 shares for $30.4 million during the first nine months and paid dividends of $0.815 per share. The interest-rate swap hedged $150 million of variable-rate borrowings at a fixed rate of 1.29% and runs through January 2021.
  • Ordinary-course litigation, environmental, tax and other claims were disclosed; management did not expect them to have a material adverse effect. The filing reported no material legal proceedings or material changes in risk factors.

Investor verification priorities

  • Confirm the filing period: the report covers Q3 2016, not Q3 2015.
  • Track whether office-furniture demand and hearth sales recover, and whether the segment-specific profit declines persist.
  • Assess execution, total charges and realized savings from the Orleans closure and other restructuring and transition initiatives.
  • Monitor working-capital conversion, planned capital spending, revolver borrowings and covenant headroom.
  • Review the final purchase-price allocation and acquisition contribution, as well as the impact of new accounting standards, particularly revenue recognition and leases.
