Acquisitions contributed 4 percentage points to Q2 sales growth and 6 points to first-half growth, while foreign exchange was a modest drag. Q2 net income margin was 16.4%, down 90 basis points; adjusted EBITDA margin was 28.4%, up 90 basis points.
Q2 segment results: FMT sales increased 8% and adjusted EBITDA margin rose to 35.1% from 31.7%; HST sales increased 4% including acquisitions, but organic sales fell 6% and margin declined to 27.6% from 31.8%; FSDP sales increased 8% and margin rose to 29.4% from 26.4%.
At June 30, cash and cash equivalents were $457.0m; working capital was $1,001.3m and the current ratio was 3.1:1. Borrowings totaled $1,480.5m, including $79.5m drawn on the revolving facility; approximately $713.1m of revolving capacity remained available. IDEX reported covenant compliance, with a 1.52:1 leverage ratio against a maximum of 3.50:1. Cash held outside the U.S. was $377.4m.
Material changes versus the prior comparable period
- Revenue growth was led by FMT and FSDP; HST faced weaker organic demand. IDEX cited customer inventory recalibration in analytical instrumentation, life science and biopharma, as well as semiconductor softness.
- Q2 GAAP net income and EPS were nearly flat despite higher sales and operating income. Higher interest expense and a $7.7m credit-loss charge on a collaborative-partner note weighed on results. Adjusted EBITDA and adjusted EPS increased 10% and 8%, respectively.
- First-half operating cash flow rose to $289.1m from $192.0m, which management attributed primarily to higher earnings and lower working-capital investment. First-half capital expenditures increased to $48.2m from $31.7m.
- Gross margin edged down 10 basis points in Q2 and 20 basis points for the first half. Management cited strong price/cost and productivity, offset by volume leverage, employee costs, unfavorable mix, and acquisition-related margin dilution.
- Debt was broadly stable year over year. In June, IDEX issued $100m of 5.13% senior notes to refinance $100m of 3.20% notes that matured. Interest expense rose 40% in Q2, partly due to acquisition-related borrowing.
Outlook, commentary, risks and unusual items
- Management expects revenues and earnings in the second half of 2023 to be lower than in the first half, driven by market-based declines in FMT and HST. The filing gives no specific numerical full-year guidance.
- IDEX acquired Iridian on May 19 for $110.3m in cash, funded from cash on hand. Iridian operates in HST; its purchase-price allocation is preliminary and includes $53.6m of goodwill and $45.6m of intangible assets.
- The $7.7m reserve reflects management’s conclusion that its investment in a firefighter-communications start-up may no longer be recoverable; IDEX paused further funding. The reserve covers the full principal and accrued interest outstanding.
- Q2 restructuring and asset-impairment charges were $3.6m; first-half charges were $4.1m. Acquisition-related intangible amortization was $23.2m in Q2 and $46.8m for the first half.
- Management believes cash, operating cash flow and available credit will meet foreseeable operating, investment, debt-service and shareholder-return needs. Risks include industrial and end-market conditions, inflation and interest rates, foreign exchange, supply chains, labor, acquisition integration and litigation or environmental contingencies.
- Ordinary-course legal proceedings were not expected by the company to have a material adverse effect. Asbestos claims remain pending; most resolved claims were dismissed without payment or settled for immaterial amounts, but future insurance coverage is uncertain. No material changes to previously disclosed risk factors were reported.
Important facts for investors to verify
- Track whether the anticipated second-half declines in FMT and HST occur and how they affect full-year revenue, earnings and margins.
- Assess the depth and duration of HST customer inventory recalibration and weakness in analytical instrumentation, life science, biopharma and semiconductor markets.
- Review cash-flow sustainability: first-half free cash flow benefited from lower working-capital investment, while capital expenditures increased.
- Monitor acquisition performance and integration, particularly Iridian and Muon, and the impact of acquired intangible amortization on GAAP results.
- Follow debt costs, covenant headroom and liquidity, as well as the recoverability of the collaborative-partner investment and developments in asbestos litigation and insurance coverage.
- Interpret adjusted EBITDA, adjusted earnings and free cash flow alongside GAAP measures; these are non-GAAP measures defined and reconciled in the filing.
