Filing identity and reporting period
Important mismatch: The supplied filing is Tyco International plc’s Form 10-K, not a Johnson Controls International plc filing. It reports the fiscal year ended September 25, 2015 (52 weeks), including fourth-quarter results. Verify the issuer before relying on this summary.
Tyco provided fire and security systems, services, monitoring, and life-safety products through North America Integrated Solutions & Services, Rest of World Integrated Solutions & Services, and Global Products. The two installation-and-services segments were renamed in Q4; the underlying segment structure and financial data did not change.
Financial performance
| Metric | FY2015 | FY2014 |
|---|---|---|
| Net revenue | $9.902 billion | $10.332 billion |
| Operating income | $884 million | $700 million |
| Operating margin | 8.9% | 6.8% |
| Income from continuing operations attributable to ordinary shareholders | $617 million; diluted EPS $1.44 | $797 million; diluted EPS $1.72 |
| Net income attributable to ordinary shareholders | $551 million; diluted EPS $1.29 | $1.838 billion; diluted EPS $3.97 |
| Cash provided by operating activities | $542 million | $829 million |
| Capital expenditures | $246 million | $288 million |
FY2015 net revenue declined 4.2%, while organic revenue grew 0.6%. Currency reduced revenue by $622 million; acquisitions added $199 million and divestitures reduced it by $67 million. Operating income rose $184 million, chiefly because asbestos-related charges were $452 million lower, alongside improved execution and cost initiatives. Higher restructuring charges and fewer legacy legal gains partly offset these benefits.
Net income comparisons are distorted by discontinued operations: FY2014 included about $1.0 billion in gain from the ADT Korea sale, while FY2015 recorded a $66 million discontinued-operations loss. FY2015 continuing income also included an $81 million debt-extinguishment loss.
Segments
- North America Integrated Solutions & Services: Revenue $3.879 billion, up 0.1%; operating income $542 million, up 20.4%; margin 14.0% versus 11.6%.
- Rest of World Integrated Solutions & Services: Revenue $3.432 billion, down 12.3% (organic decline 1.3%); operating income $243 million, down 41.0%; margin 7.1% versus 10.5%. Currency, divestitures, weaker oil-and-gas/mining activity, and higher restructuring charges weighed on results.
- Global Products: Revenue $2.591 billion, up 1.8% (organic growth 2.6%); operating income $405 million, down 11.6%; margin 15.6% versus 18.0%. Restructuring, divestiture losses, R&D investment, and currency offset revenue growth.
Liquidity, debt, and capital allocation
At year-end, cash and cash equivalents were $1.401 billion, total debt was $3.146 billion, and shareholders’ equity was $4.041 billion. Debt was 43.8% of total capital, compared with 23.9% a year earlier. A $1.5 billion revolving credit facility was undrawn; the $1.5 billion commercial-paper program had no outstanding balance. Management said cash, operating cash flow, and available credit would meet foreseeable needs.
Tyco issued €500 million of 1.375% notes due 2025 and $1.5 billion of notes due 2026 and 2045, using proceeds in part to refinance higher-coupon debt. After fiscal year-end, it redeemed $704 million principal of 7.0% and 6.875% notes and repaid $258 million of notes at maturity; the company reported post-repayment total debt of approximately $2.178 billion. The note redemptions are expected to produce a $168 million FY2016 extinguishment charge. FY2015 cash dividends were $324 million, and share repurchases were $417 million. Annual dividend declared per share was $0.77.
Operating cash flow fell $287 million year over year, with working capital reducing FY2015 operating cash flow by $671 million. Investing cash use was $862 million, including $583 million net cash paid for acquisitions (12 acquisitions; largest was Industrial Safety Technologies for $327 million). Financing cash provided was $862 million, principally reflecting debt issuance.
Outlook, risks, and unusual items
- Management expected FY2016 restructuring and repositioning charges of $75–$100 million, significantly below FY2015’s $289 million. Capital expenditures were expected to exceed FY2015 spending and depreciation; management estimated annual capital expenditure and dealer investment at 3%–3.5% of revenue.
- Management expected foreign exchange rates, assuming then-current levels, to reduce FY2016 reported revenue and operating income. It also expected continued weakness in oil-and-gas-related markets amid volatile oil prices and reduced customer capital spending. FY2016 is a 53-week year.
- IRS dispute: The IRS asserted deficiencies of $883.3 million plus $154 million penalties, and approximately $30 million for certain partnerships, excluding interest. Tyco disputed the assessments; a Tax Court trial was set for October 2016. If the IRS prevailed, it could also disallow approximately $6.6 billion of later-period interest deductions. Tax-sharing arrangements with former affiliates may affect Tyco’s ultimate exposure.
- Asbestos: Year-end gross liability was $515 million and related insurance assets were $487 million, for a reported net liability of $28 million. About 3,300 claims were pending. In August 2015, Tyco contributed approximately $325 million to the Yarway asbestos trust and Yarway ceased to be consolidated. Actual claims, insurance recoveries, and cash costs could differ materially from estimates.
- Environmental: Estimated remediation liability was $33 million, within a $23–$72 million range; most relates to arsenic contamination at the Marinette, Wisconsin facility. Future costs could change materially.
- Other matters include a SimplexGrinnell prevailing-wage settlement agreed in principle for approximately $14 million, product and other litigation, and tax and separation-related contingencies. The 2015 goodwill impairment test resulted in no impairment.
Investor verification priorities
- Confirm the issuer: the filing is Tyco International plc, despite the Johnson Controls metadata.
- Review the audited financial statements and segment disclosures, especially the gap between FY2015 continuing earnings and FY2014 total net income due to ADT Korea’s sale.
- Assess cash conversion and working-capital movements, including the $671 million working-capital drag and cash transferred to asbestos-related structures.
- Verify post-year-end debt repayments, the expected $168 million FY2016 extinguishment charge, and the effect of the higher debt-to-capital ratio.
- Track the IRS case, tax-sharing obligations, asbestos liability/insurance assumptions, and environmental remediation estimates.
- Compare FY2016 performance with management’s currency, end-market, restructuring, and capital-spending expectations.
