Consolidated net income was $141.7 million, including $3.3 million attributable to noncontrolling interests. The effective tax rate was 26% in both periods. Higher interest income ($17.2 million versus $6.2 million) partially offset lower operating income; the company also recorded an $8.0 million loss from unconsolidated affiliates, versus a $1.0 million loss in the prior-year quarter.

By segment, Piping Systems sales were $590.2 million (-10.9%) and operating income was $142.7 million (-12.9%); Industrial Metals sales were $156.1 million (-5.5%) and operating income was $24.3 million (-10.8%); Climate sales were $116.8 million (-23.6%) and operating income was $32.6 million (-39.7%).

Cash flow, balance sheet, and capital

  • Operating cash flow was $173.6 million, compared with $111.6 million. Capital expenditures were $16.4 million; operating cash flow less capital expenditures was approximately $157.2 million.
  • Investing cash flow provided $70.4 million, including $96.5 million of proceeds from securities sales; financing activities used $52.8 million, including $27.9 million of share repurchases and $22.3 million of dividends.
  • Cash and cash equivalents were $1.358 billion at March 30, 2024, with total cash, cash equivalents, and restricted cash of $1.365 billion. Short-term investments were zero, down from $98.1 million at year-end 2023.
  • Total debt was approximately $0.8 million; no borrowings were outstanding under the $400 million revolving credit facility, and $371.1 million was available to draw. The company reported a 6.0-to-1 current ratio and compliance with debt covenants.
  • Quarterly dividend was $0.20 per share, up from $0.15. The repurchase authorization, extended through July 2024, allows up to 40 million shares; 570,000 shares were repurchased under the program during the quarter.

Material changes and management commentary

Management attributed lower sales mainly to lower core-product volumes ($39.8 million), lower core-product selling prices ($36.7 million), lower non-core sales ($37.3 million), and the Heatlink disposition ($7.7 million). Core product selling prices generally move with raw-material costs. Gross margin fell as a percentage of sales, and Climate was particularly affected by weaker demand—especially in residential construction—and lower volume and pricing in certain product lines. Management also cited lower housing starts year over year, while private nonresidential construction spending increased.

Liquidity is expected to be sufficient for working capital, capital expenditures, and debt obligations, using operating cash flow, available credit, and cash on hand. The filing gives no specific earnings or revenue guidance. The company expects approximately $3.9 million in environmental remediation spending over the next 12 months.

Outlook, risks, contingencies, and unusual items

  • Pending acquisition: On April 19, 2024, after quarter-end, Mueller agreed to acquire Nehring Electrical Works for approximately $575 million, subject to customary adjustments, plus a potential $25 million earn-out. It expects to fund the deal with cash on hand and expects closing in Q2 2024, subject to regulatory approval and other conditions. Nehring reported approximately $400 million in 2023 sales.
  • Tecumseh investment: Mueller recorded $10.3 million of its share of Tecumseh losses, compared with $2.4 million a year earlier, and advanced the affiliate $12.5 million during the quarter.
  • Insurance claim: A 2023 tornado damaged part of the Covington, Tennessee operation. Mueller had received $25 million in insurance advances by March 30, including $15 million in Q1 2024; $14 million, net of specified costs and damaged assets, remained recorded in other current liabilities. Final loss and insurance recovery were not determined.
  • Environmental and legal exposure: The company reported reserves for remediation, including an estimated $14.1–$16.1 million of Shasta-area mine remediation over 30 years, with a reserve at the low end. For the Lead Refinery site and Bonita Peak Mining District, potential losses beyond recorded reserves could not be estimated. A separate antidumping-duty dispute also has an unquantified potential liability. Letters of credit and other guarantees could require payments of up to $28.9 million.
  • Principal operating risks: Copper and brass costs and availability, metal-price spreads, housing and construction demand, substitution by alternative products, competition, foreign exchange, and broader economic conditions. The company uses commodity and currency derivatives to manage certain exposures.

Important facts for investors to verify

  • Whether Nehring closes on the expected timetable and the final purchase price, earn-out terms, and cash impact.
  • Whether weak Climate demand, lower core volumes, and margin pressure continue, and how segment results respond.
  • How Tecumseh’s losses and the $12.5 million advance develop, including any further funding requirements.
  • Final insurance-claim settlement and the remaining balance associated with the Covington tornado.
  • Potential outcomes and reserve adequacy for environmental matters and the antidumping-duty dispute.
  • Cash deployment after the acquisition, including continued dividends and share repurchases.
