Material changes, outlook and risks

  • Margins improved year over year, while cost of operations remained 61.6% of revenue for the nine-month period. Pricing supported growth, but collection-volume declines, labor and maintenance costs, third-party disposal rates, and lower recycling commodity prices were offsets. Average recycled commodity price was $81 per ton for nine months versus $103.
  • Management’s preliminary 2020 outlook is diluted EPS of $3.44–$3.49 and adjusted diluted EPS of $3.46–$3.51, including a $0.02 restructuring adjustment. The filing says this is not full guidance; formal guidance was expected in February 2020.
  • October 2019 fires affected certain Group 1 facilities after quarter-end. The company was assessing damage and warned of possible higher Q4 operating expenses or asset impairments.
  • Environmental liabilities were $1,855.2, including $515.6 for remediation. The filing says aggregate remediation liability could be approximately $369 higher using the reasonably possible high ends of estimates. Bridgeton Landfill’s recorded remediation liability was $149.1, with a stated high end approximately $171 above the recorded amount.
  • At the West Lake Superfund site, the EPA’s remedy estimate was $229 over a four-to-five-year design and construction period. Republic said it could not predict the final remedy or estimate its subsidiary’s share of costs; future design, liability allocation or proceedings could change the recorded liability.
  • Other sensitivities include an estimated $18 annual change in revenue and operating income for each $10-per-ton movement in recycled commodity prices, and approximately $16 annual interest expense and net cash interest sensitivity to a 100-basis-point rate change. No fuel or recycling commodity hedges were in place at September 30.
  • Legal proceedings accruals were approximately $19; the aggregate potential liability could be approximately $15 higher using the high ends of estimated ranges. Management said pending legal proceedings were not expected to materially adversely affect results, but outcomes remain uncertain.

  • Whether pricing continues to offset volume weakness, cost inflation and recycling-commodity volatility.
