KeyBanc Just Downgraded Vistra Stock. Here's Why.

Vistra (VST) shares tanked on Wednesday after KeyBanc downgraded the company amid concerns that major political shifts in Texas could derail one of the market’s favorite investment themes: artificial intelligence (AI)-driven electricity demand.

Analyst Sophie Karp reduced her rating on VST this morning to “Sector Weight,” and removed the firm’s price target altogether, signaling a more cautious stance heading into 2027.

Her bearish call adds pressure on Vistra stock, which has already lost about 34% since the start of the year.

What Made KeyBanc Downgrade Vistra Stock

KeyBanc turned bearish on VST shares primarily because of an unexpected political development in Texas — a state that’s become a critical hub for data center construction and electricity demand.

In her research note, Karp said investors were caught off guard after Democrats secured victories, including the election of Gina Hinojosa for governor. She expects that shift to introduce uncertainty for companies tied to the booming artificial intelligence infrastructure buildout.

Of particular concern is Hinojosa's campaign platform, which included support for stricter limits on data center expansion, additional oversight of electricity and water usage, and tightening requirements for future projects.

The analyst warns those proposals could slow the pace of new large-scale developments and reduce visibility into power demand growth.

Since much of the bullish case for merchant power producers like Vistra has been linked to rapidly rising consumption from AI-related facilities, any policy changes that weaken that narrative could weigh on valuations across the sector, she noted.

KeyBanc Says VST Shares Are Particularly Vulnerable

While Karp sees broader risks for independent power producers, she argues that Vistra shares are particularly vulnerable because of the company’s substantial exposure to the Texas market. That positioning helped fuel a powerful rally in recent years, but it also leaves VST more exposed if growth expectations are reset lower, the analyst told clients.

The concern isn’t necessarily that data center demand disappears, but rather that permitting delays, development restrictions, or additional regulatory requirements may create a less favorable backdrop than investors had been anticipating.

Note that Vistra has a history of losing about 2.69% on average in December, a seasonal trend that further dulls its near-term appeal.

What’s the Consensus Rating on Vistra?

Heading into Nov. 4, Wall Street had a consensus “Strong Buy” rating on VST stock, with a bullish mean price target of about $198.

But downward revisions, like KeyBanc’s, are expected as other analysts try to price in uncertainty around a Democratic victory in their estimates over the coming weeks.
