Liquidity and balance sheet at September 30, 2012: Cash and cash equivalents were $8.016 million and available-for-sale investments were $15.042 million, totaling $23.1 million in cash, cash equivalents and investments. Total current assets were $23.685 million; current liabilities were $6.086 million. Total liabilities were $6.086 million, including only $3,000 of current debt. Accumulated deficit was $360.9 million.

Cash flows, nine months: Operating activities used $15.336 million, versus $14.559 million in 2011. Investing activities provided $9.526 million, primarily reflecting investment maturities exceeding purchases; financing activities provided $6.939 million, largely from the ATM share issuance. Cash and cash equivalents increased $1.127 million to $8.016 million. No product gross margin was reported, and a product margin is not meaningful while the company has no product sales.

Changes versus comparable periods

  • Revenue rose substantially, mainly because ACADIA recognized approximately $3.0 million of previously deferred Meiji Seika Pharma revenue in Q3 after the parties discontinued AM-831 development and terminated their agreement. This recognition was a one-time effect, not product sales.
  • Q3 net loss narrowed year over year, primarily reflecting the revenue recognition; R&D expense increased modestly as pimavanserin Phase III activity progressed.
  • For the nine-month period, net loss narrowed despite higher R&D spending. G&A expense fell, in part because 2011 included a $1.1 million net charge related to termination of the Swedish facility lease.
  • Cash, cash equivalents and investments declined from $31.0 million at December 31, 2011 to $23.1 million at September 30, 2012.

Outlook, commentary and risks

  • Management expected to report top-line results from the pivotal pimavanserin PDP -020 Phase III study in November 2012. The filing notes an earlier unsuccessful Phase III trial; an unfavorable -020 result could materially impair the program and the company.
  • Management expected existing cash, cash equivalents, investments and anticipated collaboration payments to fund operations into the second half of 2013, but stated that significant additional financing would be needed. There is no assurance financing will be available on acceptable terms; a shortfall could force program delays, reductions, or licensing of rights.
  • ACADIA raised $7.0 million gross (approximately $6.8 million net) through its at-the-market agreement in Q3, selling 3,491,500 shares. The agreement permits up to $20 million in aggregate offerings, creating potential dilution.
  • Allergan collaborations remained a source of revenue and potential milestones and royalties, but payments depend on development progress. The 2003 research term had been extended through March 2013. Allergan was seeking a partner for further development and commercialization of the chronic-pain program.
  • R&D expenses were expected to remain substantial. The company said it could not reliably estimate development costs or completion dates because of clinical-development uncertainty. Other key risks include clinical-trial failure or delay, reliance on collaborators and third-party research organizations, and uncertain access to capital.
  • Contractual obligations listed included $356,000 of operating leases and debt due within one year, plus up to approximately $3.2 million of future contract research and service obligations, which in most cases could be stopped on short notice. Potential Ipsen milestone payments of up to $10.5 million were contingent and excluded from the obligations table.
  • Management reported disclosure controls and procedures were effective at the reasonable-assurance level as of September 30, 2012, and reported no material change in internal control over financial reporting during the quarter.

Investor verification priorities

  • Verify the subsequent -020 Phase III top-line results and their implications for pimavanserin development and financing.
  • Track cash burn, collaboration receipts, and the timing and terms of additional funding relative to the stated runway into the second half of 2013.
  • Assess dilution from ATM sales and other potential equity issuance; common shares outstanding rose to 56.6 million at quarter-end from 52.9 million at year-end 2011.
  • Distinguish recurring collaboration revenue from the one-time Meiji deferred-revenue recognition, and monitor Allergan program progress and the March 2013 research-term timing.
  • Review contingent research-service commitments and potential Ipsen milestones, alongside the company’s stated clinical and collaboration risks.
