ADIAL PHARMACEUTICALS, INC. annual report, FY2022

Adial Pharmaceuticals, Inc. — FY2022 Form 10-K

Business context and reporting period. This annual report covers the year ended December 31, 2022. Adial is a clinical-stage biopharmaceutical company with no approved products or product revenue. Its lead candidate, AD04, is low-dose ondansetron paired with a genetic test and is being developed for alcohol use disorder (AUD). The company also held Purnovate, a preclinical adenosine-drug platform; in January 2023 it granted a related-party buyer an option to acquire Purnovate’s assets.

Financial performance and position

Metric20222021
Product revenueNoneNone
Research and development expense$4.18 million$8.40 million
General and administrative expense$9.14 million$9.34 million
Total operating expenses$13.32 million$19.29 million
Net loss$12.73 million$19.42 million
Net loss per share, basic and diluted$0.51$1.04
Cash used in operating activities$11.19 million$11.95 million
Cash and cash equivalents at year-end$4.00 million$6.06 million

Margins and cash flow. Gross margin and operating margin are not meaningful because the company had no product revenue. Operating expenses fell about 31%, but operating cash use declined only about 6%. Management attributed the lower R&D expense mainly to completion of ONWARD trial activities, partly offset by Purnovate research and post-trial consulting costs.

Liquidity and liabilities. Year-end total assets were $5.73 million and total liabilities were $2.46 million, including $207,375 of lease liabilities and $492,000 of contingent liabilities; the balance sheet reports no conventional borrowings. Current assets were $4.78 million and current liabilities $1.79 million. However, the auditor’s going-concern paragraph refers to a significant working-capital deficiency, which does not appear consistent with those reported current-asset and current-liability totals and merits verification. The auditor expressed substantial doubt about the company’s ability to continue as a going concern. Management said available cash was not expected to fund operations for the 12 months after filing.

Material changes and developments

  • Net loss narrowed by $6.69 million year over year, primarily as operating expenses declined and the company recorded a $522,000 gain from revaluing Purnovate contingent consideration, versus a $282,000 loss in 2021. The contingent-consideration gain is non-cash and reflects changed expectations for timing and risk of milestones.
  • R&D expense decreased by $4.22 million, while G&A decreased modestly by $0.20 million. 2021 included a $1.55 million impairment charge that did not recur in 2022.
  • Financing activities provided $9.13 million in 2022, chiefly from a February stock-and-warrant offering; the company ended the year with $2.06 million less cash than it began with.
  • After year-end, the company raised $750,000 gross, with expected net proceeds of approximately $550,000, by issuing 1,829,269 shares in February 2023.
  • Common shares outstanding increased from 20.95 million at year-end 2021 to 26.69 million at year-end 2022. At March 27, 2023, 28.52 million shares were outstanding. At year-end 2022, 12.17 million warrants and 4.32 million options were outstanding, representing potential dilution.

Outlook, risks, and unusual items

  • AD04 trial results: ONWARD enrolled 302 patients and missed its prespecified primary efficacy endpoint for the combined trial population. The company reported a statistically significant reduction in heavy-drinking days at month six in a prespecified subgroup of heavy drinkers (p=0.03); the combined month-five-and-six analysis was not statistically significant (p=0.07). In March 2023, the company reported further subgroup and genetic-panel analyses. These are company-reported findings, not regulatory approval.
  • Development and funding needs: The company expected at least one additional Phase 3 trial may be required. It estimated $8–12 million in direct costs for a second Phase 3 trial, up to $5 million in additional development costs, and a further $8–12 million for a possible third trial. Management estimated about $7.6 million in cash use during 2023 under stated assumptions and said additional financing or a partner would be needed. The estimates depend on regulatory feedback, trial design, and Purnovate’s status.
  • Regulatory and safety uncertainty: FDA and European authority discussions were planned for 2023; a Type C FDA meeting was scheduled for Q2. Approval depends on trial results, acceptance of endpoints and heavy-drinking definitions, and clearance or approval of the companion diagnostic. Long-term safety data for chronic ondansetron use are limited; the company anticipated a 12-month safety study in at least 100 subjects.
  • Purnovate option: The 120-day option was granted to Adenomed LLC, whose president and principal stockholder is Adial director and executive William Stilley. Proposed acquisition terms include cash, 19.99% equity in the buyer, royalties, and potential development and commercial milestone payments. Closing and the buyer’s ability to fund the transaction were uncertain.
  • Controls and listing: Management concluded disclosure controls and internal control over financial reporting were ineffective, citing material weaknesses including inadequate documentation and review procedures, insufficient GAAP expertise, IT-control deficiencies, and inadequate segregation of duties. Nasdaq had notified Adial that its share price was below the $1 minimum bid requirement; the compliance deadline was extended to August 28, 2023. A reverse stock split was being sought, with no assurance it would restore compliance.
  • Other risks: The company depends heavily on AD04 and its UVA license, has no sales or marketing infrastructure, needs additional capital, and faces clinical, reimbursement, patent, supply, and execution risks. The filing reports no pending legal actions at December 31, 2022 and no material off-balance-sheet arrangements.

Most important facts for investors to verify

  • Reconcile the auditor’s going-concern reference to a working-capital deficiency with the balance sheet’s reported current assets and current liabilities; confirm cash runway and financing requirements.
  • Check the full ONWARD analysis, including the failed primary endpoint, subgroup definitions, statistical analyses, and the final regulatory-agreed endpoints and trial requirements.
  • Confirm whether additional Phase 3 and long-term safety studies are required, their finalized budgets, and whether financing or a development partner is secured.
  • Verify the status and final terms of the related-party Purnovate option and any required conflict-of-interest safeguards.
  • Track progress remediating material weaknesses, Nasdaq bid-price compliance, and potential dilution from shares, warrants, options, and future financing.
