Agenus Inc. — Q1 2024 Form 10-Q
Reporting period: Three months ended March 31, 2024. Unless otherwise noted, financial amounts below are in millions of U.S. dollars. Agenus is a clinical-stage biotechnology company focused on cancer immunotherapies; its lead candidates are botensilimab and balstilimab.
Financial performance
- Revenue: $28.0 million, up from $22.9 million in Q1 2023. Revenue was primarily $27.8 million of non-cash royalty revenue tied to the sale of future royalties on GSK vaccine sales; service revenue was $0.2 million. No research and development collaboration revenue was recognized in Q1 2024, compared with $2.6 million in Q1 2023.
- Expenses and losses: Research and development expense was $43.9 million, down 23% from $57.1 million; general and administrative expense was $16.9 million, down 8% from $18.2 million. Operating loss was $32.9 million versus $54.3 million. Net loss was $63.5 million versus $70.9 million; net loss attributable to common stockholders was $61.9 million versus $68.3 million. Basic and diluted loss per share was $3.04 versus $4.31.
- Interest and margins: Net interest expense rose to $29.5 million from $16.6 million, mainly due to non-cash interest associated with the HCR royalty transaction. The filing does not present a meaningful conventional operating margin for this clinical-stage business.
- Cash flow: Operating cash use was $38.2 million, compared with $58.5 million in Q1 2023. Investing activities provided $0.2 million; financing activities provided $14.8 million, including $17.2 million of net proceeds from at-the-market share sales. Cash, cash equivalents and restricted cash declined $23.3 million to $56.5 million; balance-sheet cash and cash equivalents were $52.9 million.
- Liquidity and liabilities: Current assets were $60.4 million and current liabilities were $256.0 million. Total debt principal was $13.8 million, including $12.8 million of 2015 subordinated notes due February 2025. The net balance-sheet liability related to the sale of future royalties and milestones was $258.8 million. Total stockholders’ deficit was $190.3 million.
Material changes and business developments
- Non-cash royalty revenue increased $8.7 million year over year, which management attributed to higher sales of GSK vaccines containing QS-21, including AREXVY. Agenus had previously sold the related royalty rights to HCR; the reported revenue is non-cash, and the arrangement also generated $29.5 million of non-cash interest expense in Q1 2024.
- Lower research and development expense reflected reduced third-party services, personnel costs and subsidiary activity. The company said it had prioritized its lead asset in August 2023, postponed preclinical and other clinical programs, and reduced its workforce by approximately 25%.
- Common shares outstanding were 20.99 million at March 31, 2024, compared with 19.72 million at December 31, 2023. The company raised $17.2 million through at-the-market offerings during the quarter.
- After quarter end, a 1-for-20 reverse stock split became effective April 12, 2024. Share and per-share information in the financial statements was retrospectively adjusted for the split.
Outlook, risks and contingencies
- Going concern: Management stated that cash resources, the anticipated Ligand proceeds and potential additional funding are expected to meet liquidity needs through year-end and into 2025. However, the company disclosed that substantial doubt exists about its ability to continue as a going concern for one year after the filing date because important financing and collaboration transactions are not within its control.
- Ligand transaction: On May 6, 2024, Agenus signed an agreement to sell specified portions of certain collaboration milestones and royalties, plus a synthetic royalty on botensilimab and balstilimab sales, for $75 million less reimbursable expenses at closing. Ligand may invest an additional $25 million, and additional third-party sales may bring total proceeds under the agreement structure to as much as $200 million. Closing was expected in May and remained subject to customary conditions. The agreement includes a warrant for 867,052 shares at an exercise price of $17.30, subject to adjustment provisions. The anticipated proceeds were not cash on hand at March 31.
- Lead-program outlook: The company reported completed enrollment in its refractory MSS colorectal cancer trials and aims to initiate an FDA biologics license application submission for potential accelerated approval of botensilimab plus balstilimab by the end of 2024. This is a target, not an assured approval or filing outcome. The combination has FDA Fast Track designation for a specified patient population.
- Partner programs: Incyte terminated its OX40 program and indicated it intended to terminate GITR and an undisclosed program, with rights expected to revert to Agenus. Merck said further development of MK-4830 would be limited to an ongoing neoadjuvant ovarian study.
- Management cited possible funding from partnerships, milestones, out-licensing, asset sales, further royalty monetization, financing and equity issuance, and said it can adjust spending to preserve liquidity. Continued clinical development and regulatory work require substantial additional spending; regulatory approval, commercial acceptance and future financing remain uncertain.
- The company reported no material legal proceedings and no material changes to the risk factors in its 2023 Form 10-K. It reported effective disclosure controls and no material change in internal control over financial reporting during the quarter.
Key facts investors should verify
- Whether the Ligand transaction closed, when proceeds were received, and whether additional investors exercised participation or option rights.
- Updated cash runway, operating cash use, financing needs and the status of the February 2025 subordinated notes.
- Progress and timing of the planned botensilimab/balstilimab regulatory submission, including trial data and FDA requirements.
- Effects of the royalty-sale obligations and non-cash interest expense on reported results and future cash flows.
- Further changes to partner programs, including the reversion of Incyte rights and development plans for those assets.
- Potential dilution from future equity sales and the Ligand warrant, noting that the filing’s share and per-share information reflects the subsequent reverse split where applicable.
