Revenue increased 90%, principally because Agenus recognized $20.0 million of accelerated Incyte milestones. Revenue also included Incyte development-cost reimbursements. The filing says 87% of 2017 revenue came from one collaboration partner. No meaningful operating margin comparison is presented; the company reported no cost of goods sold and remained loss-making. Interest expense, net, was $18.9 million, up from $17.3 million.
Fourth quarter 2017: Revenue was $8.4 million and net loss was $35.0 million, or $0.35 per diluted share. The filing reports quarterly operating cash use of $25.8 million.
Material changes versus the prior period
- Revenue rose from $22.6 million to $42.9 million, largely due to the Incyte milestone payment; excluding such items, revenue remains collaboration-dependent.
- R&D spending increased 22% to $116.1 million, mainly from third-party services and costs supporting antibody programs.
- Operating cash use increased to $94.2 million from $80.0 million. Year-end cash and investments fell by $16.3 million.
- Incyte bought 10 million shares for $60.0 million and the parties amended their collaboration: GITR and OX40 became royalty-bearing programs, with Agenus eligible for 15% royalties on global net sales if products are commercialized. Agenus also received $20.0 million of accelerated milestones.
- In October 2017, GSK’s shingles vaccine containing Agenus’s QS-21 adjuvant received U.S. approval. In January 2018, Agenus sold all rights to the related GSK royalties to HCR.
Outlook, risks and unusual items
- Management targeted a first potential BLA filing as early as the second half of 2019 and sought to become a commercial organization in 2020. The filing characterizes timelines as aggressive and dependent on clinical progress, patient enrollment, resources and regulatory outcomes; these are targets, not assured guidance.
- Management stated that year-end resources, anticipated funding and approximately $28.0 million of net proceeds from the January 2018 HCR transaction were expected to fund liquidity needs through the first quarter of 2019. However, the auditor’s report includes a going-concern explanatory paragraph, citing recurring operating losses and a net capital deficiency that raise substantial doubt about the company’s ability to continue as a going concern.
- In January 2018, HCR paid $190.0 million for the GSK royalty rights. Approximately $161.9 million was used to redeem the $115.0 million principal of the royalty-backed notes and associated accrued interest, leaving about $28.0 million net proceeds. Agenus gave a guarantee secured by substantially all its assets for a potential approximately $25.9 million rebate due in 2021 if neither specified GSK sales threshold is met. HCR also agreed to potential milestone payments of up to $40.35 million, subject to sales thresholds.
- At December 31, 2017, the royalty-backed notes bore interest at 13.5%, compounded quarterly; the company reported $36.8 million of accrued interest. The 2015 subordinated notes had $14.0 million principal, bore 8% interest and mature in February 2020. The filing’s balance-sheet debt carrying amount includes accrued interest and accounting adjustments and should not be confused with principal.
- Key business risks include clinical and regulatory failure, substantial ongoing cash burn and need for additional financing, dependence on Incyte and other partners, competition in crowded immuno-oncology markets, manufacturing and supply risks, and uncertainty over intellectual-property protection. Agenus disclosed no material legal proceedings.
- Other notable items: the company launched AgenTus Therapeutics for preclinical cell-therapy programs, completed restructuring and site consolidation, and reported a $1.5 million settlement gain related to termination of a multiple-employer benefit plan. No income tax benefit was recorded for 2017.
Investor verification priorities
- Confirm subsequent cash burn, financing activity and whether liquidity extended beyond management’s stated first-quarter 2019 runway.
- Verify the completed HCR transaction accounting, remaining debt, security interests and the conditions governing the potential 2021 rebate.
- Track clinical-trial enrollment, safety and efficacy data, regulatory milestones and actual progress against the BLA and commercialization targets.
- Assess the sustainability and concentration of collaboration revenue, particularly Incyte-related reimbursements and milestone income, and the timing and likelihood of future royalties.
- Review dilution exposure: shares outstanding were 101.7 million at year-end 2017 and 102.6 million as of February 28, 2018; options, warrants and registered equity capacity could add further shares.
