|---|---|---|---|---|
| Revenue | $0.87 million | $0.65 million | $14.87 million | $2.11 million |

| Loss per share, basic and diluted | $0.24 | $0.28 | $0.28 | $0.92 |
- Nine-month revenue included $12.8 million recognized from amended license agreements: $6.5 million related to an expanded GSK license and $6.25 million from an exclusive license and royalty-stream buyout. The company characterized the payments as one-time and not indicative of future results.
- Q3 revenue comprised $0.49 million service revenue and $0.38 million R&D revenue. Nine-month R&D revenue was $14.09 million, and service revenue was $0.78 million.
- Research and development expense was $2.61 million in Q3 and $8.19 million for nine months, broadly level with prior-year periods. General and administrative expense was $2.59 million in Q3 and $8.82 million for nine months; the nine-month increase reflected higher share-based compensation, partly offset by cost controls. Net interest expense rose to $3.48 million for nine months from $3.09 million, principally as notes outstanding increased.
- Cash and cash equivalents were $24.76 million at September 30, 2012, versus $10.75 million at December 31, 2011. Total current assets were $25.79 million and current liabilities $4.83 million. Stockholders’ deficit was $13.16 million; accumulated deficit was $613.58 million.
- Net cash provided by operating activities was $4.29 million for nine months, compared with $12.07 million used in the prior-year period. The 2012 inflow primarily reflected one-time license payments and working-capital changes; it should not be taken as a recurring cash-generation rate. Investing activities used $0.10 million and financing activities provided $9.82 million.
- Debt principal outstanding was $39.3 million, including $39.0 million of 8% senior secured convertible notes due August 2014. The balance sheet reports convertible notes of $35.25 million, reflecting carrying value rather than principal. Interest on the notes has partly been paid in additional notes.
Material changes and business developments
- Nine-month revenue rose sharply from $2.11 million to $14.87 million, largely because of the 2012 license transactions; Q3 revenue growth was much smaller. Nine-month net loss narrowed, but management cautioned that the improvement was driven mainly by those nonrecurring payments.
- Agenus received $9.0 million from GSK under a March 2012 agreement granting GSK a first right to negotiate regarding a potential company or asset purchase and amending existing licenses. The right expires after five years; $2.5 million of the payment is creditable against future manufacturing technology transfer royalty payments. The agreement also added a license for an undisclosed indication.
- The company received $6.25 million from an existing licensee for an amendment that made a non-core technology license exclusive and bought out the existing royalty stream.
- Agenus raised approximately $10.46 million net through at-the-market equity offerings during the first nine months, issuing about 2.47 million shares under the old and new programs. The new program permits sales of up to 5 million shares.
- HerpV entered a Phase 2 trial in October 2012 to assess its effect on viral shedding in people with genital herpes. A Phase 2 G-100 glioma study was fully enrolled, with follow-up underway; final G-200 recurrent-glioma data were being prepared for publication. Oncophage was registered in Russia, but the filing reports minimal sales to date.
Outlook, liquidity, and risks
- Management estimated that cash, working capital resources, and anticipated proceeds from license, supply, and collaboration agreements would fund requirements through Q4 2013. Its estimated 2012 net cash burn was $13–16 million, defined to exclude one-time upfront payments and include capital expenditures and dividends. It expects to seek additional funding before cash is depleted.
- Potential funding sources include licensing, renegotiating agreements, asset sales, debt, and equity offerings. Management warned that financing may not be available on acceptable terms or at all; if funds are insufficient, clinical plans, development, capital spending, or operations may need to be reduced.
- The company expects continued significant losses and cannot reliably estimate the costs or timing of completing development programs or when material operating cash inflows may begin. It anticipates possible QS-21 royalties from licensees around 2014, but commercialization, approvals, and royalty revenue are uncertain.
- Key risks include clinical and regulatory failure or delay; reliance on collaborators and licensees; uncertain QS-21 demand and royalty collection; the expired QS-21 composition-of-matter patent in virtually all territories; manufacturing and supply constraints; competition; and limited liquidity. The 2006 Notes are secured by equity in a subsidiary holding important QS-21 and HerpV rights, and contain restrictive covenants and conversion provisions.
- The filing reports no material pending legal proceedings beyond ordinary-course matters. Management concluded disclosure controls were effective and reported no material change in internal control over financial reporting during the period.
Important facts for investors to verify
- Whether the company can obtain additional financing before its projected liquidity runway ends, and whether actual cash use remains consistent with the $13–16 million 2012 estimate.
- How much of nine-month revenue and operating cash flow was nonrecurring, and what recurring license, service, or royalty income is realistically expected.
- Progress, enrollment, safety, and efficacy results for HerpV Phase 2 and the Prophage studies, including any implications for partnering or future funding.
- Whether QS-21 licensees advance candidates toward approval and launch, purchase supply from Agenus, and ultimately generate royalties; verify the timing and conditions of the anticipated 2014 launches.
- The repayment, conversion, collateral, and covenant implications of the $39.0 million principal balance of 8% notes due August 2014, along with the potential dilution from further equity issuance.
