Realpha Tech Corp. quarterly report, Q1 FY2024

reAlpha Tech Corp. — Q1 2024 Form 10-Q

Reporting period: Three months ended March 31, 2024. Unaudited consolidated results; amounts are in U.S. dollars unless stated otherwise.

Business context

reAlpha has halted property acquisitions and its asset-heavy short-term rental operations amid high interest rates, inflation and elevated property prices. Its current strategy is to develop and commercialize AI technologies for real estate. The rental segment is expected to remain paused until at least the first quarter of 2025, subject to market conditions. GENA, an AI listing-description product, became available to users on March 21, 2024; the company says it has not yet generated revenue from GENA.

Changes versus the prior comparable period

  • Revenue fell about 82%, chiefly because rental properties were sold and myAlphie was sold in 2023. Q1 2024 revenue came from platform services, principally technical support for myAlphie’s buyer; rental revenue was zero.
  • Net loss increased by about $554,000. Management attributed the larger loss mainly to higher wages, professional and legal fees, and amortization of a GEM commitment fee.
  • Wages, benefits and payroll taxes rose to $418,902 from $204,196, following executive salary adjustments and creation of an executive position. Professional and legal fees increased to $468,725 from $325,161.
  • Cash declined by $1.62 million during the quarter. Investing activities used $19,700 and financing activities used $71,286; the company also repaid debt.
  • Platform-services revenue decreased to $20,426 from $62,810, while rental revenue fell to zero from $48,641.

Outlook, risks and unusual items

  • Management expects ongoing operating losses but says cash and positive working capital are sufficient to fund operations for the next 12 months. This is management’s assessment, not a guarantee; additional financing may be needed, and the filing gives no quantified revenue or earnings guidance.
  • The company says it has not generated meaningful revenue from its current technology business. Commercial adoption and delivery of its developing AI products, including GENA, remain uncertain.
  • The company has access to a GEM equity facility of up to $100 million but says it does not currently intend to draw on it. It recorded $125,000 of non-cash commitment-fee expense in Q1. GEM warrants for 1,700,884 shares have an adjusted exercise price of $371.90; the filing says exercise is unlikely below that price. Separately, 1.6 million offering warrants have a $5 exercise price.
  • Acquisitions of Naamche and Nepal Naamche remained subject to closing conditions; Nepal regulatory approval was received on March 27, 2024. On April 12, 2024, after the quarter, reAlpha terminated negotiations to acquire United Software Group.
  • Contingencies include a company malpractice lawsuit against former legal counsel, whose scope and outcome the company says it cannot predict, and a challenge to the dismissal of a criminal case involving CEO Giri Devanur in India, which he is contesting.
  • Management reported disclosure controls effective as of March 31, 2024 and no material changes to internal control over financial reporting during the quarter. The company identifies risks including its limited operating track record, competition, financing needs, technology execution, and privacy and regulatory changes.

Important facts for investors to verify

  • Whether GENA and the other AI products can attract paying customers and produce revenue, given the very low current revenue base.
  • Cash burn and runway against management’s 12-month liquidity assessment, along with financing availability and potential dilution.
  • The status and closing conditions of the Naamche transactions and the planned timing, if any, for restarting rental operations.
  • The filing reports net proceeds of $7.16 million from the November 2023 offering in one section and $7.6 million in another; verify the correct amount.
  • Developments, potential costs and outcomes related to the disclosed legal matters and the company’s $1.0 million deferred liability.
