Operating margin was approximately 28.0%, down from 36.4% in 2022; net margin was approximately 23.8%, versus 24.9%. Cost of sales rose to 30.0% of revenue from 24.3%, reflecting acquisition-related amortization, inventory fair-value step-up amortization, higher profit-share and royalty expense, and product mix. The current ratio was approximately 1.65x at year-end, compared with 1.41x.

FY2023 product sales were led by Prolia ($4.048 billion), ENBREL ($3.697 billion), Otezla ($2.188 billion) and XGEVA ($2.112 billion). Growth included Repatha (+26%), EVENITY (+47%) and BLINCYTO (+48%); declines included ENBREL (-10%), Otezla (-4%) and Aranesp (-4%). TEPEZZA and KRYSTEXXA contributed $448 million and $272 million, respectively, from the acquisition date through year-end.

Material changes versus FY2022

  • Revenue growth reflected volume gains in several products and $954 million of Horizon product sales after acquisition, partly offset by lower net selling prices for products including ENBREL, Neulasta and MVASI.
  • Operating expenses increased 21% to $20.293 billion. Research and development expense rose 8% to $4.784 billion; selling, general and administrative expense rose 14% to $6.179 billion.
  • Net income increased modestly despite lower operating income. Other income, net, was $2.833 billion versus an $814 million expense in 2022, primarily reflecting a $1.2 billion gain from remeasuring the BeiGene investment at fair value and higher interest income. Net interest expense more than doubled to $2.875 billion.
  • Operating cash flow fell $1.250 billion, principally due to acquisition transaction and integration payments and higher tax payments. Investing cash outflow was $26.204 billion, mainly the $26.989 billion net cash purchase of Horizon; financing cash inflow was $21.048 billion, primarily from debt issuance.
  • Debt increased substantially to finance Horizon. Amgen issued $24.0 billion of senior notes and borrowed $4.0 billion under a term loan; the company reported investment-grade ratings and compliance with debt covenants at year-end.

Outlook, management commentary, risks and unusual items

  • Outlook: The filing gives no specific 2024 revenue or EPS guidance. Management expects portfolio net selling prices to continue declining in 2024, driven by competition, and notes that Q1 is historically the lowest product-sales quarter. It estimates 2024 capital spending of approximately $1.1 billion and intends to reduce debt while continuing dividends and investing in the business.
  • Acquisition and unusual items: Horizon contributed $955 million of revenue and a $1.2 billion net loss for the post-acquisition period; the loss included $633 million of inventory fair-value step-up amortization and $479 million of intangible-asset amortization. Amgen recorded a $783 million impairment charge after terminating the AMG 340 program. A $225 million gain on debt extinguishment and investment-related gains affected earnings.
  • Pipeline and regulatory: Tarlatamab showed a 40% objective response rate in a Phase 2 SCLC study; the FDA accepted its BLA for Priority Review with a June 12, 2024 PDUFA date. LUMAKRAS did not receive full FDA approval; the FDA issued a Complete Response Letter and required an additional confirmatory study, due no later than February 2028.
  • Pricing and competition: ENBREL was selected for Medicare drug price setting beginning in 2026 under the Inflation Reduction Act. Biosimilar and generic competition, payer rebates, coverage restrictions and price controls may weigh on sales and margins.
  • Tax dispute: Amgen contests IRS adjustments for 2010–2012 and 2013–2015. The notices assert approximately $3.6 billion and $5.1 billion of additional federal tax, respectively, plus interest; the latter also asserts approximately $2.0 billion in penalties. The cases were set for trial in November 2024. Amgen disputes the IRS positions; ultimate exposure is uncertain.
  • Other risks: Horizon integration and reliance on contract manufacturers—including a KRYSTEXXA supplier affected by the Israel-Gaza conflict—may create execution or supply risks. Amgen also cites wholesaler concentration, manufacturing concentration in Puerto Rico, reimbursement uncertainty, litigation and cybersecurity threats.
  • Shareholder returns and controls: Amgen paid $4.556 billion in dividends and made no share repurchases in 2023. The Board declared a $2.25-per-share Q1 2024 dividend. The auditor issued unqualified opinions on the financial statements and internal control; Horizon was excluded from management’s internal-control assessment.

Most important facts for investors to verify

  • Whether Horizon products deliver expected growth and integration benefits, and how amortization and acquisition costs affect reported margins.
  • Debt reduction, interest expense, refinancing needs and cash generation following the acquisition financing.
  • Net price and volume trends for major products, especially ENBREL, Repatha, Neulasta and biosimilar-exposed brands; also monitor payer access and Medicare policy effects.
  • Outcome and potential financial effect of the IRS tax litigation, including accrued amounts, interest and penalties.
  • Tarlatamab’s regulatory outcome and LUMAKRAS’s confirmatory-study progress, alongside clinical, safety and reimbursement risks across the pipeline.
  • Horizon supplier and manufacturing continuity, especially single-source arrangements and geopolitical exposure.
  • Sales-deduction estimates: accrued deductions were $7.271 billion at year-end, and total deductions were 53% of gross product sales in 2023 versus 51% in 2022.
