- Worldwide product sales rose 8% in both Q3 and the nine-month period. Q3 sales grew 10% in the U.S. and 4% in the rest of the world.
- Q3 sales of ENBREL increased 17%, while Aranesp fell 17%; Neulasta/NEUPOGEN rose 1%. Other product sales grew 44%, led by XGEVA and Prolia.
- Cost of sales was 16.8% of product sales in both 2012 periods, versus 15.6% in 2011, reflecting the Puerto Rico excise tax and, for Q3, product mix. R&D was 20.9% of product sales in Q3 and 19.9% for nine months; SG&A was 26.8% and 27.9%, respectively.
- Interest expense, net, was $271 million in Q3 and $762 million for nine months, up from $158 million and $415 million, primarily due to higher average debt.
- At September 30, cash, cash equivalents and marketable securities totaled $25.374 billion. Total debt was $26.478 billion, including $2.458 billion current and $24.020 billion long-term. Total assets were $55.448 billion and stockholders’ equity was $19.902 billion.
- Nine-month cash flows: operating activities provided $5.070 billion; investing activities used $7.959 billion; financing activities provided $1.766 billion. Cash and cash equivalents declined $1.123 billion to $5.823 billion.
Material changes versus prior periods
- Profit growth was amplified by the prior-year $780 million legal settlement charge: Q3 2011 other operating expenses included that charge. In 2012, nine-month growth also reflected higher product revenue, while cost of sales, R&D and SG&A increased.
- Other revenue rose substantially, including $232 million recognized in the first nine months following the Takeda agreement modification, as well as collaboration-related milestone payments. Q3 other revenue also reflected a brodalumab milestone and motesanib-related revenue.
- The effective tax rate was 12.4% in Q3 and 12.9% for nine months, compared with 0.0% and 11.3% in 2011. The Puerto Rico excise tax increased manufacturing costs but generated foreign tax credits; the federal R&D tax credit had expired.
- Debt increased from $21.428 billion at December 31, 2011, following approximately $5.0 billion of debt issuance. Interest-rate swaps with $3.6 billion aggregate notional were terminated, generating $397 million received and recognized in earnings over the related debt terms.
- Amgen spent $3.4 billion repurchasing 48.1 million shares in the first nine months and paid $844 million in dividends. The quarterly dividend was $0.36 per share; $1.6 billion remained under the authorized repurchase program at September 30.
Outlook, commentary, risks and unusual items
- Management said available funds, operating cash flow and financing access should meet working-capital, debt-service, capital-spending, dividend, repurchase and strategic-investment needs for the foreseeable future. The company estimated 2012 capital spending at approximately $700 million and said it had funding for the $2.5 billion convertible notes due in Q1 2013. No specific full-year revenue or EPS guidance is provided in the filing text.
- Management intends to continue dividends and share repurchases, but their timing and amount may vary. Approximately $18.8 billion of cash and securities was generated in foreign tax jurisdictions and intended to remain invested abroad; repatriation would incur additional U.S. taxes.
- Amgen accrued $806 million, including potentially due interest, for proposed resolution of federal investigations and an additional qui tam matter. The company expected written settlement documentation before year-end 2012 and expected no exclusion from federally funded healthcare programs, but stressed that resolution was not guaranteed. It also expected a corporate integrity agreement. Other pending matters could have a material adverse effect, although loss ranges were generally not estimable.
- Patent expirations and biosimilar competition are key commercial risks. Amgen expected U.S. competition for NEUPOGEN beginning in Q4 2013; its material U.S. Neulasta patent expires in 2015. European biosimilar competition was already affecting Neulasta/NEUPOGEN sales.
- Receivables in Spain, Italy, Greece and Portugal totaled $436 million, of which $308 million was past due. Amgen reported no significant losses to date and did not expect current collection delays to materially affect overall operating cash flow, while warning that worsening conditions could impair collection.
- Amgen acquired Micromet, Mustafa Nevzat Pharmaceuticals and KAI Pharmaceuticals during 2012 for total stated cash consideration of approximately $2.155 billion, expanding oncology, regional commercial and nephrology activities. The acquired clinical-stage assets remain subject to development and regulatory risk.
- Pipeline developments included initiation of a phase 3 brodalumab psoriasis program and positive LDL-C reductions in four phase 2 AMG 145 studies. The Sensipar E.V.O.L.V.E. trial did not meet its primary endpoint in the primary intent-to-treat analysis; prespecified adjusted analyses showed reductions in the endpoint.
Important facts for investors to verify
- Progress and final terms of the proposed government-investigation and qui tam settlements, including the final cash cost and corporate integrity agreement.
- Product-level sales trends, especially ESA demand, biosimilar pressure in Europe, and the effect of upcoming NEUPOGEN and Neulasta patent expirations.
- Debt maturities and refinancing, including repayment of the $2.5 billion 2013 convertible notes, and the effect of higher debt and interest expense.
- Whether operating cash flow can sustain acquisitions, capital spending, dividends and repurchases, and how much liquidity is accessible in the U.S. given funds intended to remain offshore.
- Development and regulatory progress for acquired and internal pipeline candidates, including the limitations of the Sensipar trial analyses and the still-early AMG 145 evidence.
