Amylyx Pharmaceuticals, Inc. — FY2022 Form 10-K
Reporting period: Fiscal year ended December 31, 2022. This is an annual filing; it does not provide a standalone fourth-quarter income statement or cash-flow statement. Amylyx transitioned from a development-stage company to a commercial-stage biotechnology company after launching RELYVRIO in the U.S. and ALBRIOZA in Canada.
Financial performance and position
| Metric | FY2022 / December 31, 2022 | FY2021 / comparison |
|---|---|---|
| Product revenue, net | $22.2 million | None; $0.3 million grant revenue |
| Net loss | $198.4 million | $87.9 million |
| Research and development expense | $93.5 million | $44.0 million |
| Selling, general and administrative expense | $127.1 million | $38.9 million |
| Net cash used in operating activities | $179.9 million | $74.8 million |
| Cash, cash equivalents and short-term investments | $346.9 million | $96.1 million |
| Total liabilities | $50.8 million | $17.4 million |
- Product revenue began with Canadian sales in July and U.S. sales in October. Gross product revenue was $27.1 million, reduced by $4.9 million of discounts, rebates and other gross-to-net adjustments.
- Reported cost of sales was $3.0 million. The company said approximately $3.4 million of costs for units sold had been expensed before approval and were therefore excluded from cost of sales; it also provided some product at no cost while reimbursement was being established. Reported gross margin is therefore not a complete measure of product economics.
- Operating expenses rose 169% year over year, reflecting Phase 3 development and launch-readiness/commercialization spending. Interest income was $4.3 million; the company recorded a $0.8 million income-tax provision, primarily for foreign taxes.
- Cash and cash equivalents were $62.5 million and short-term investments were $284.4 million. Current assets were $382.1 million versus current liabilities of $46.6 million. No convertible notes were outstanding at year-end; operating lease liabilities totaled $6.3 million.
- Financing activities provided $431.8 million, including net proceeds of approximately $196.4 million from the January IPO and $230.6 million from the October follow-on offering. Investing activities used $239.0 million, largely due to purchases of short-term investments.
- Management said available cash, short-term investments and product revenue were expected to fund operating and capital needs for at least 12 months after the filing date, while cautioning that estimates depend on assumptions. The filing reports no dividend payments.
Material changes and business developments
- FDA approved RELYVRIO for adults with ALS in September 2022; commercial availability began in October. Health Canada granted conditional marketing authorization for ALBRIOZA in June 2022; Canadian sales began in July.
- FY2022 product revenue was the company’s first product revenue. Net loss increased by $110.4 million from 2021, while R&D expense more than doubled and SG&A increased substantially as Amylyx expanded clinical, commercial and public-company operations.
- The company completed its IPO in January 2022 and a follow-on offering in October. Common shares outstanding increased to 66.5 million at year-end, from 7.0 million at year-end 2021, primarily reflecting preferred-stock conversion and public offerings.
- PHOENIX, the 48-week Phase 3 ALS trial, completed enrollment of 664 participants in February 2023; topline results were anticipated in mid-2024. This trial is central to further regulatory support and to Canadian approval conditions.
- The European marketing application remained under review, with major objections and additional questions outstanding. Management expected a CHMP opinion mid-2023 and a European Commission decision in the third quarter of 2023 at the earliest.
Outlook, commentary and principal risks
- Management expects continued losses and significant spending on commercialization, PHOENIX and other clinical programs. Profitability depends substantially on sustained product sales, reimbursement and further approvals; the company has no assurance it will become profitable.
- Management stated that unsuccessful PHOENIX results could lead to consultation with regulators and potentially voluntary withdrawal of the product; regulators could also restrict or withdraw U.S. or Canadian approvals. The filing notes that the FDA characterized the exploratory long-term survival evidence as requiring cautious interpretation.
- RELYVRIO carries FDA post-marketing requirements, including carcinogenicity, drug-interaction and kidney- or liver-impairment studies. Canadian authorization is conditional, including on provision of PHOENIX and other study data.
- In the Phase 2 Alzheimer’s PEGASUS trial, the six-month study was not powered to assess efficacy; no differences were observed on the composite or secondary efficacy endpoints, while certain biomarkers changed. Amylyx said it would evaluate the findings before deciding next steps.
- Key operating risks include dependence on a single lead product, uncertain market uptake and reimbursement, competition, reliance on third-party manufacturers and suppliers, regulatory uncertainty, and the possibility of additional financing needs or dilution. The company also disclosed reliance on single-source arrangements for key active ingredients and manufacturing.
- As of March 10, 2023, less than $1 million of cash and short-term investments was on deposit with Silicon Valley Bank; most cash and investments were held in custodial accounts. The company said it held sufficient liquid assets elsewhere for operations and did not expect a material impact from SVB’s closure.
- Management concluded disclosure controls and internal control over financial reporting were effective at December 31, 2022. The independent auditor issued an unqualified opinion on the financial statements but was not engaged to audit internal control effectiveness.
Important facts for investors to verify
- Track quarterly product revenue, gross-to-net deductions, reimbursement coverage, channel inventory and the cost of free-product programs; assess margins after pre-approval inventory benefits roll off.
- Monitor PHOENIX timing and results, and whether the data satisfy U.S. and Canadian post-approval requirements and support continued approvals.
- Check the outcome and timing of the European review, including resolution of CHMP’s outstanding objections and any additional evidence requested.
- Compare cash and short-term investments with operating cash burn, launch spending and expected development costs; confirm management’s runway estimate as sales and expenses evolve.
- Review concentration in customers, suppliers and manufacturers, as well as the potential financial impact of grant-related royalties and any new financing or share issuance.
