Management said existing cash and expected operating cash flows should fund normal requirements, including capital expenditures and debt service, for the next 12 months.

Material changes and unusual items

  • Segment reporting was revised in the fourth quarter to four operating segments; comparative periods were recast.
  • Roofing recorded a $26.0 million goodwill impairment after exiting certain markets and reducing projected future profits.
  • Depreciation included $15.5 million of capitalized-software impairments. Capital expenditures rose to $116.4 million, primarily for software; 2023 capital expenditures are expected to be about 50% lower than 2022.
  • Ads and Leads benefited from price increases and advertising growth, while membership revenue declined. Management said organic search traffic remained below pre-March 2021 levels following the brand integration, weighing on marketing efficiency and contributing to higher online marketing spend.
  • Management said Services investment peaked in the first quarter of 2022 and expects its year-over-year profit trend to improve through 2023, with a focus on less complex services and more profitable offerings. This is commentary, not quantified company-wide guidance.
  • Effective January 1, 2023, Services changed its contractual arrangement so Angi acts as a connector rather than the service provider to the consumer. Revenue will consequently be reported net rather than gross; Angi said this will not affect operating income or Adjusted EBITDA.
  • CEO Joseph Levin, also IAC’s CEO, became Angi CEO on October 10, 2022. Angi recorded a $2.1 million allocation of related costs from IAC for the remainder of the year.

Risks, contingencies, and outlook

  • Key business risks include economic weakness, inflation and higher interest rates reducing home-service demand; competition; dependence on paid and organic search and other marketing channels; the continuing effects of the brand transition; and declines in service requests and professional participation.
  • Angi relies on independent service professionals. Reclassification as employees could create tax, wage, benefit, and other liabilities. The filing notes related proceedings and investigations, which the company said it did not believe would have a material adverse effect.
  • Privacy, data security, cybersecurity, platform access, and changing U.S. and foreign regulations may raise costs or expose Angi to fines, litigation, or disruption.
  • The FTC administrative matter concerning HomeAdvisor leads and mHelpDesk resulted in a proposed consent order accepted by the Commission on January 23, 2023, subject to public comment through March 8. It includes commitments on representations and reporting and up to $7.2 million for service-professional restitution and administration costs.
  • Other disclosed litigation includes a pending service-professional class-certification motion and a California false-advertising case scheduled for trial in April 2023. Angi accrued $13.5 million for legal matters at year-end; management stated no pending proceeding was expected to have a material adverse effect, while acknowledging legal outcomes are uncertain.
  • IAC’s voting control may limit minority shareholders’ influence and Angi’s flexibility over financing and other corporate decisions. The company also has tax-sharing and service arrangements with IAC.
  • Angi reported effective disclosure controls and internal control over financial reporting, with unqualified audit opinions. The auditor identified valuation of Services goodwill as a critical audit matter; the reporting unit’s estimated fair value exceeded carrying value by $40 million.

Important facts for investors to verify

  • Whether demand and monetization stabilize, given the declines in service requests, transactions, and transacting professionals.
  • Whether Services improves profitability as management expects, and how the 2023 net-revenue presentation affects reported revenue and margins.
  • Whether lower planned capital expenditures support cash generation, while accounts receivable growth and credit-loss provisions remain significant. The 2022 credit-loss provision was $108.2 million.
  • Whether Roofing’s market exits and lower profit outlook lead to further impairment or losses.
  • The final FTC consent-order terms and developments in the disclosed class-action and California litigation.
  • How IAC’s control, related-party arrangements, and potential equity-award settlement obligations affect Angi’s governance, capital allocation, and dilution.
