Revenue increased 193.6% in Q2 and 118.4% in the first half. Generic product revenue was $13.8m in Q2 and $26.0m in the first half; branded product revenue was $2.1m and $6.4m, respectively. Cost of sales excluding depreciation and amortization was 16.1% of revenue in Q2 and 15.4% in the first half, down from 31.8% and 27.0%. Management attributed the improvement chiefly to EEMT price increases and a favorable mix, including Lithobid and Vancocin.
For the first half, operating cash flow was $2.3m, versus $7.1m a year earlier. Investing used $4.8m and financing provided $0.2m; cash declined $2.3m to $166.7m. The operating cash flow decline reflected working-capital uses, including a $5.3m use from current income taxes, a $5.2m inventory increase and a $1.6m increase in receivables.
At June 30, cash was $166.7m, current assets were $208.9m and current liabilities were $6.9m. Convertible notes had $143.8m principal and a $113.7m net carrying value; reported fair value was $163.7m. The notes bear a 3.0% coupon, mature December 2019 and had a 7.7% annualized effective interest rate. Q2 and first-half net interest expense was $2.7m and $5.5m.
Material changes and notable items
- Growth reflected higher EEMT revenue, newer generic launches (including Methazolamide, Etodolac and Propafenone), and sales of Lithobid and Vancocin, whose product rights were acquired in 2014.
- Q2 contract services and other income included a non-recurring $1.4m increase in Vancocin royalty revenue from the partner’s adjustment of prior chargeback, rebate and other deduction estimates.
- Depreciation and amortization rose to $1.4m in Q2 and $2.7m in the first half, largely from amortization of acquired product rights. First-half SG&A rose 12.8%, while R&D rose 13.9%.
- In July 2015, after quarter-end, ANI acquired 22 previously marketed generic-product ANDAs from Teva for $25m cash plus a percentage of future gross profits, funded from cash on hand. In March, it acquired Flecainide Acetate rights for $4.5m cash plus a percentage of future gross profits.
Outlook, risks and contingencies
- Management expected EEMT sales to increase in the second half of 2015 as new customer contracts began in Q3. ANI also expected to launch its own-label Vancocin authorized generic in Q4, replacing the partner’s current authorized generic. These are stated expectations, not quantified full-year guidance.
- ANI marketed EEMT and Opium Tincture without FDA-approved NDAs or ANDAs. Together, they generated $11.0m of Q2 revenue and $21.3m in the first half. FDA enforcement could require approval efforts or withdrawal, materially reducing revenue. The filing also describes contract manufacturing and royalty revenue tied to products marketed without approved NDAs.
- Supply is concentrated: two suppliers represented 40% of first-half inventory purchases. Some APIs have only one qualified source; imported-API disruptions and the annual DEA quota needed for Opium Tincture are additional operating risks.
- The Louisiana Medicaid lawsuit seeks unspecified damages, fines, penalties and costs relating to products from a former operation; ANI says it will vigorously defend the case and cannot predict the outcome. The filing also discusses metoclopramide/Reglan litigation; the current product-liability policy excludes these claims.
- Management stated financial resources should cover working-capital requirements for at least 12 months. It reported effective disclosure controls and no material changes in internal control during the quarter. The filing reported no material changes to the risk factors in the 2014 Form 10-K.
Investor verification priorities
- Assess how much revenue and earnings growth is repeatable versus attributable to acquired products, EEMT price increases, and the $1.4m non-recurring Vancocin royalty adjustment.
- Verify the timing and commercial contribution of the EEMT contracts and planned Q4 Vancocin launch.
- Review FDA exposure and revenue dependence on unapproved products, alongside API sourcing and DEA quota risks.
- Track working-capital conversion and cash flow, particularly inventory, receivables and tax payments, as well as the cash impact of the July $25m acquisition.
- Evaluate the convertible notes’ carrying value, market fair value, interest burden and potential dilution, and monitor the Louisiana Medicaid and product-liability matters.
