  • Q2 revenue rose 8.0%; first-half revenue rose 49.8%. Generic product sales drove growth, while branded sales, contract manufacturing and contract services declined.
  • Cost of sales, excluding depreciation and amortization, was 31.8% of Q2 revenue and 27.0% for the first half, versus 35.3% and 39.1%, respectively, a year earlier. These figures imply gross margins of 68.2% and 73.0% on that basis.
  • Operating margin was (37.0)% for Q2 and 5.9% for the first half; net margin was (35.5)% and 5.7%, respectively.
  • Q2 remained loss-making despite higher revenue. First-half results moved to profit from a prior-year loss. Prior-year comparison includes substantial merger-related expenses, while 2014 includes higher amortization and stock-based compensation.
  • Cash and cash equivalents were $52.961 at June 30, up from $11.105 at year-end. Current assets were $67.160 and current liabilities $3.828; the current ratio was approximately 17.5. The filing reports no borrowings at June 30 and says the revolving credit line had been repaid in 2013.
  • First-half cash flows: $7.133 provided by operations, $12.888 used in investing and $47.611 provided by financing. Financing primarily reflects $46.7 million net proceeds from a March public offering; investing mainly reflects the $12.5 million Teva ANDA acquisition.
  • Total assets were $95.423, including $21.800 in net intangible assets; stockholders’ equity was $91.595. The March offering added approximately 1.6 million common shares.

Material changes and management commentary

  • Generic revenue increased 70.9% in Q2 and 134.5% for the first half. ANI attributed much of the increase to Esterified Estrogen with Methyltestosterone (EEMT), following reduced competition and higher pricing, and also cited sales increases for other generic products.
  • A significant EEMT competitor re-entered the market in 2014, reducing ANI’s unit sales and revenue; management expected this impact to continue. ANI also recorded $3.9 million of EEMT price-protection charges in the first half.
  • Q2 selling, general and administrative expense fell 24.2% year over year, principally because the prior-year quarter included $4.8 million of merger-related expense. The decrease was partly offset by public-company costs and a $1.3 million noncash stock-compensation catch-up charge. Research and development and amortization increased.
  • ANI acquired rights to 31 Teva generic products for $12.5 million in early 2014. After quarter-end, it agreed to acquire Lithobid rights for $11 million plus a possible $1 million contingent payment, and acquired Vancocin rights for $11 million.
  • Management stated that cash, working capital and anticipated operating revenue should meet requirements for at least the next 12 months. No specific revenue or earnings guidance was provided.

Risks, contingencies and unusual items

  • EEMT and Opium Tincture are marketed without FDA-approved NDAs. Together they generated $3.8 million of Q2 revenue and $10.5 million for the first half. ANI said FDA enforcement could require approval applications or withdrawal from the market; the filing provides no assurance that the current enforcement approach will continue. The FDA confirmed closure of its Opium Tincture inspection in April 2014.
  • ANI also manufactures products and receives royalties related to products marketed by customers without approved NDAs; FDA action could affect those revenues.
  • Supply is concentrated: two suppliers provided 40% of first-half inventory purchases, and certain APIs have only one qualified source. Imported API disruptions and annual DEA quota approval for Opium Tincture are additional dependencies.
  • Three customers accounted for 65% of Q2 revenue and 61% of first-half revenue; receivables from those customers totaled $6.2 million at June 30.
  • Contingencies include a Louisiana Medicaid lawsuit involving products from a former operation, with potential damages and penalties not quantified, and Reglan/metoclopramide litigation involving 2,944 plaintiffs in remaining cases. ANI said it could not assess likely outcomes or any loss range. Certain shareholder litigation was concluded following dismissal or settlement.
  • Use of pre-change tax loss and credit carryforwards is subject to Section 382 limits after ownership changes, which could increase future tax payments. Deferred tax assets remain fully reserved.
  • The company reported no off-balance-sheet arrangements and no material change in internal control over financial reporting; management concluded disclosure controls were effective.

Important facts for investors to verify

  • Whether EEMT competition, pricing and the $3.9 million price-protection adjustments continue to affect sales, collections and margins.
  • Regulatory status and potential revenue exposure for unapproved products, including the outcome of any FDA action and the status of required DEA quotas.
  • Customer and API supplier concentration, and the impact of any supply interruption or reduced customer orders.
  • Potential exposure and developments in the Louisiana Medicaid and Reglan/metoclopramide matters, including whether a loss range becomes estimable.
  • Integration, approval and commercial performance of acquired Teva, Lithobid and Vancocin product rights, along with related cash needs and amortization.
  • Future cash generation, operating profitability, dilution from equity compensation and offerings, and usable tax attributes under Section 382.
