Material changes and operating trends
- Revenue was essentially flat. Servicer and Real Estate service revenue declined 2% to $29.1 million, while Origination service revenue rose 7% to $7.8 million.
- Gross profit improved as cost of revenue fell 12%, reflecting lower compensation and benefits, outside fees and technology costs, alongside efficiency measures. SG&A increased 6% to $12.9 million, mainly from professional services and other expenses.
- Origination operating performance improved: gross profit was $1.8 million versus $0.1 million, and operating loss narrowed to $0.1 million from $1.7 million. Servicer and Real Estate operating income was $9.3 million versus $9.9 million.
- Interest expense increased to $9.5 million from $6.8 million. The term loan’s stated rate, including PIK interest, was 14.20% at March 31, versus 8.73% for Q1 2023.
- Cash used in operations narrowed, but the company continued to consume cash. Cash, cash equivalents and restricted cash totaled $32.5 million at quarter-end, down $2.9 million during the quarter.
Outlook, risks and unusual items
- No specific financial guidance or quantified revenue outlook is provided. Management expects default-related demand, new sales wins and Origination growth to support improvement, but says foreclosure and REO timelines remain extended and unpredictable. It also cites seasonality and uncertain mortgage-market conditions.
- Ocwen represented 45% of consolidated revenue in Q1 2024; an additional 7% was earned on loan portfolios serviced by Ocwen when another party selected Altisource. Changes to Ocwen’s business, regulatory circumstances, customer relationships or pricing could materially affect Altisource.
- The $226.2 million term-loan principal matures April 30, 2025. The company may extend maturity to April 30, 2026, subject to conditions, including a 2% PIK extension fee payable by April 30, 2025 and no default. The company reported no Revolver borrowings; up to $15 million is available under the facility. Debt is secured and subject to restrictive covenants.
- Management says it expects to fund liquidity needs through existing cash, operating cash flows and, if needed, the Revolver, but operating cash flow is negative and there can be no assurance its plans will succeed. Scheduled debt and interest obligations are significant; the filing’s payment schedule assumes an April 2025 maturity.
- SG&A included higher professional-services accruals for potential settlements of legacy indemnity claims and estimated legal matters. The company is responding to governmental inquiries and says it is premature to estimate any financial impact. It believes current litigation will not materially affect results, but outcomes are uncertain.
- Foreclosure initiations and sales remained below pre-pandemic levels, which continues to weigh on default-related business. The company also identifies customer retention, regulatory developments, origination volumes, interest rates and cybersecurity among key risks.
Important facts for investors to verify
