Autolus Therapeutics Plc annual report, FY2023

Autolus Therapeutics plc — FY2023 Form 10-K

Reporting period: Fiscal year ended December 31, 2023. This is an annual report; the filing does not provide a clear standalone Q4 income statement. Amounts below are in U.S. dollars unless stated otherwise. The financial statements were audited under U.S. GAAP; 2022 and 2021 results were restated.

Business context

Autolus is a clinical-stage biopharmaceutical company developing programmed T-cell therapies for cancers and autoimmune diseases. It had no approved products or commercial product sales in 2023. Its lead program, obe-cel, is under regulatory review for relapsed/refractory adult B-cell acute lymphoblastic leukemia (B-ALL); the rest of the pipeline remains in clinical or preclinical development.

Net loss per share was $1.20 in 2023 versus $1.57 in 2022; the weighted-average share count increased substantially, primarily reflecting prior equity issuance. License revenue was the only reported revenue source; no product revenue or meaningful commercial gross margin was reported. R&D expense includes UK R&D tax credits, which were $19.5 million in 2023 versus $24.6 million in 2022.

At year-end, cash and cash equivalents were $239.6 million, down from $382.4 million. Current assets were $275.3 million and current liabilities $44.7 million. Total liabilities were $263.9 million, including a $170.9 million liability for future royalties and sales milestones tied to Blackstone and $53.0 million of operating lease liabilities. The company reported no conventional debt outstanding subject to variable interest rates. Its significant financing-related royalty liability is not traditional borrowings.

Material changes and unusual items

  • Losses widened as operating expenses rose and interest expense increased to $45.1 million from $8.9 million. Interest expense primarily reflects accretion and a $25.1 million cumulative catch-up adjustment to the Blackstone royalty and milestone liability.
  • Interest income increased to $13.5 million from $1.7 million, reflecting higher cash balances and yields. Other income included a $2.6 million foreign-exchange gain.
  • Autolus restated 2022 and 2021 results, as well as quarterly 2022 and 2023 statements, after finding UK SME R&D tax credits had been misclassified between income tax and R&D expense. The restatement did not change net loss, loss per share, balance sheets or cash flows for the affected periods.
  • FY2023 included $3.8 million of property and equipment disposal losses related to a vacated manufacturing suite, and a $0.4 million impairment charge for a leased property.
  • In February 2024, after year-end, Autolus received $50 million in BioNTech upfront payments and $200 million from a BioNTech share placement, and raised $350 million gross in an underwritten ADS offering. These transactions brought in $600 million gross in total and materially diluted existing shareholders. The filing reports 265.9 million ordinary shares outstanding as of March 20, 2024, versus 174.1 million at December 31, 2023.

Outlook, commentary and risks

  • The FDA accepted the obe-cel BLA in January 2024 and set a November 16, 2024 target action date. The filing reports an EMA marketing application submission and plans a UK submission in the second half of 2024. Approval and launch remain uncertain.
  • Management expected year-end cash plus the February 2024 proceeds to fund planned operations and capital expenditures for at least 12 months from the report date. Management also states that additional funding will be needed before cash breakeven; this runway estimate depends on assumptions and is not a profitability forecast.
  • In the FELIX study, pooled data for 127 patients showed a 78% CR/CRi rate among evaluable patients, grade 3 or higher CRS of 2%, grade 3 or higher ICANS of 7%, and estimated 12-month event-free survival of 50%. These are clinical-trial results, not commercial outcomes, and durability and safety require continued follow-up.
  • The Stevenage Nucleus facility received UK manufacturing/import authorization and GMP certification in March 2024, after the reporting year. The company expects capacity of approximately 2,000 batches annually at full capacity, but commercial-scale execution and supply reliability remain risks.
  • BioNTech’s February 2024 agreement includes a $40 million upfront payment in return for a share of future obe-cel revenue, a separate $10 million upfront license/options payment, and potential additional payments. Up to $582 million of aggregate future payments is conditional on options and milestones and is not assured. BioNTech also has options concerning pipeline programs and manufacturing/commercial collaboration.
  • Key risks include continuing losses and financing needs; regulatory, clinical efficacy and safety uncertainty; CAR-T manufacturing, logistics and scale-up; competition and reimbursement; intellectual-property claims; foreign-exchange exposure; and execution of commercial launch plans.
  • Management identified a material weakness in internal control over financial reporting related to the tax-credit accounting error. Disclosure controls and internal control over financial reporting were assessed as ineffective at December 31, 2023. Remediation is underway, with no assurance it will be fully effective. The auditor’s financial-statement opinion was unqualified, but the auditor did not provide an ICFR attestation.

Most important facts for investors to verify

  • FDA review progress, any requests for additional information, and the November 16, 2024 target action date for obe-cel; also confirm the status of EMA and UK submissions.
  • Cash burn, post-financing cash position and actual runway relative to management’s estimate, including planned commercial and manufacturing spending.
  • Terms and accounting for the Blackstone royalty liability, the BioNTech revenue share, and any BioNTech option exercises or additional milestones.
  • Progress in remediating the material weakness, and whether any further restatements or control deficiencies arise.
  • Commercial readiness and validated manufacturing performance at The Nucleus, including capacity, batch success, delivery times and supply redundancy.
  • Clinical follow-up for obe-cel, including response durability, serious adverse events and regulatory implications of CAR-T safety warnings.
  • Effects of the February 2024 equity issuances on share count, ownership, dilution and potential future financing needs.
