Cash, debt and liquidity

  • Cash and cash equivalents were $66.6 million at year-end, down from $103.2 million. Working capital was $195.8 million, versus $178.4 million.
  • Operating cash flow was $138.5 million. Investing used $416.0 million, principally reflecting $365.8 million of net cash paid for acquisitions. Financing provided $246.7 million.
  • Revolving debt was $440.6 million, compared with $108.6 million a year earlier. The $550 million senior secured revolving facility matures July 2027; $109.4 million was available at year-end. The stated interest rate was 5.798%, and the company was in compliance with its debt covenants.
  • Management expects operating cash flow to fund working capital and necessary capital investment. Planned 2023 capital expenditures were $40–$50 million. A 100-basis-point rate change on year-end borrowings would change annual interest expense and cash flow by approximately $4.4 million.

Material changes, outlook and risks

  • Balchem acquired specialty vitamin K2 producer Kappa in June and MSM producer Bergstrom in August 2022. The acquisitions added goodwill and debt; the acquired businesses contributed $22.2 million of 2022 sales and a $5.4 million net loss in the portion of the year included in reported results. Purchase-price allocations remained preliminary. Contingent consideration liabilities were $11.4 million at year-end, with possible payments tied to performance targets.
  • Interest expense increased to $10.3 million from $2.5 million, reflecting acquisition-related borrowing and higher rates. Acquisition-related and other operating expenses also increased.
  • Management reported continued inflation, raw-material shortages, logistics disruption and labor availability issues in 2022; some eased in the second half, but management expected challenges to persist. Backlog fell to $47.0 million from $65.7 million; all year-end orders were expected to be filled during 2023.
  • Regulatory uncertainty around ethylene oxide is a significant exposure: customer sterilization facilities have faced shutdowns or downtime, and future EPA or state requirements could affect customers and sales. The company also described a pending EPA remedial investigation at its Verona, Missouri site, where it says the prior owner is responsible for further Superfund remedy and the company has indemnification protections.
  • Other principal risks include input-cost inflation and supply disruptions, competition and pricing pressure, foreign-exchange and interest-rate exposure, acquisition integration and goodwill valuation, cybersecurity, and changes in demand. No formal revenue or earnings guidance is provided in the filing.

Most important facts for investors to verify

  • Whether price increases can offset raw-material and other cost inflation without further margin erosion.
  • Acquisition integration, acquired-business profitability, final purchase accounting, and contingent consideration outcomes.
  • Debt paydown capacity, interest-rate exposure, facility availability and continued covenant compliance.
  • EPA decisions and customer operating capacity related to ethylene oxide, plus developments in the Verona site investigation.
  • Goodwill and intangible-asset valuation assumptions: goodwill was $769.5 million at year-end, and the annual impairment test found no impairment.

The auditor issued an unqualified opinion on the financial statements and concluded internal control over financial reporting was effective. Kappa and Bergstrom, representing approximately 24.5% of year-end assets and 2.4% of annual sales, were excluded from management’s and the auditor’s 2022 internal-control assessments because they were acquired during the year.
