Segment sales were $47.9 million Specialty Products (+13.3%), $42.5 million FPN (+1.3%) and $201.5 million ANH (+17.9%). Segment operating earnings were $18.6 million, $11.1 million and $26.5 million, respectively. ANH growth reflected higher feed-grade choline sales, specialty ingredient volumes and industrial applications; industrial products represented about 29% of ANH sales.
At year-end, cash and cash equivalents were $114.8 million, up from $77.3 million; working capital was $144.8 million, up from $100.1 million. Total debt was $1.4 million, down from $4.9 million. The company had no outstanding borrowings under its $6.0 million U.S. revolver or its €3.0 million European revolver and reported compliance with loan covenants. Stockholders’ equity was $232.0 million, versus $187.5 million.
Fourth-quarter 2011 sales were $69.7 million versus $69.8 million in Q4 2010; net earnings were $9.5 million versus $9.4 million, and diluted EPS was $0.31 in both periods.
Material changes versus the prior year
- Revenue increased across Specialty Products and ANH, while FPN was nearly flat. Growth included higher volumes of medical sterilization products, human choline and animal specialty ingredients, as well as industrial choline derivatives.
- Gross margin percentage declined mainly because of higher raw-material costs; ANH also experienced temporary operating inefficiencies at certain choline plants.
- The effective tax rate decreased to 31.7% from 33.6%, primarily due to changes in state-tax apportionment, contributing to earnings growth.
- Cash generation increased, and debt fell following $3.6 million of principal payments. The annual dividend declared per share increased to $0.18 from $0.15.
- Balchem terminated its Channahon, Illinois facility lease and ceased operations there in June 2011; pharmaceutical-grade production requiring cGMP compliance shifted to third-party contract manufacturing.
Outlook, commentary, risks and contingencies
- Management expects operating cash flow to fund working capital and necessary investment. It is pursuing acquisitions and may use additional borrowing or capital-market access if needed. Planned 2012 capital expenditures are $14–$15 million. No specific revenue or earnings guidance was provided.
- Management cited product launches, broader domestic and international applications, plant efficiency and production capabilities as priorities. It expects the current order backlog of $10.4 million to be filled in fiscal 2012; backlog was down from $12.9 million a year earlier.
- Key risks include commodity and petrochemical input-price volatility, competition and pricing pressure, economic weakness, foreign-exchange movements, operational interruptions, and dependence on permits and regulatory approvals. Approximately 34% of 2011 sales were outside the United States.
- EPA registrations for ethylene oxide and propylene oxide are important to specialty-product sales and could be revisited. Pharmaceutical contract manufacturing introduces FDA approval and inspection risks.
- Environmental matters include continuing discussions with New York regulators about monitoring at the Slate Hill site and a former-owner Superfund remediation at Verona, Missouri. Management considers further legal-proceeding outcomes not material; Verona-related potential liabilities are subject to stated indemnities.
- The filing reports $1.516 million of uncertain-tax-position liabilities for which settlement timing could not be reasonably estimated, and $2.021 million of unrecognized tax benefits. The unfunded postretirement medical obligation was $1.078 million.
- Management and the independent auditor concluded that internal control over financial reporting was effective as of year-end; the auditor issued an unqualified opinion on the financial statements.
Important facts for investors to verify
- Whether 2012 sales growth and margins can be sustained as raw-material costs and choline-plant efficiencies evolve.
- Whether planned capital spending and acquisition activity convert the substantial cash balance into attractive returns without materially increasing debt.
- Whether EPA and FDA requirements, including third-party cGMP production, affect product availability, costs or market access.
- How much ANH’s growth depends on dairy-market conditions and industrial applications, including shale-gas-related demand.
- The status and potential cost of environmental matters, tax positions and 2012 collective-bargaining agreement renewals.
