Business context and reporting period
Bank of Marin Bancorp’s Form 10-K covers the fiscal year ended December 31, 2020; it is an annual report, not a standalone fourth-quarter filing. The California community bank serves businesses, nonprofit organizations, professionals and individuals across seven Bay Area counties, principally through Bank of Marin.

- Net interest income increased 1.0%, but margin declined 43 basis points amid rate cuts and lower asset yields. PPP lending and reduced deposit costs partly offset those pressures.
- Net cash provided by operating activities was $40.8 million. Investing activities used $173.4 million and financing activities provided $149.5 million; cash increased $16.9 million during the year.
- Non-interest-bearing deposits rose $225.8 million and represented 54% of year-end deposits. Deposit cost was 0.11%, down from 0.20%.
- Year-end subordinated debenture carrying value was $2.8 million; other borrowings and obligations were $58,000. The company had substantial unused borrowing capacity, including $642.5 million from the FHLB, $78.7 million from the Federal Reserve Bank and $135.0 million in correspondent lines.
- Bancorp’s total risk-based capital ratio was 16.03%, versus 15.07% in 2019; tangible common equity to tangible assets was 11.27%. The Bank was classified as well capitalized.
Material changes versus the prior comparable period
- Net income fell about 12%, and diluted EPS declined from $2.48 to $2.22. Lower earnings reflected higher credit-loss provisions, lower non-interest income and higher expenses.
- Loans grew 13%, or $245.3 million, but included $291.6 million in SBA-guaranteed PPP loans. Non-PPP originations fell to $165.5 million from $259.6 million as conventional demand weakened.
- The allowance for loan credit losses increased to $22.9 million from $16.7 million. The allowance-to-loans ratio rose to 1.10% from 0.90%; net charge-offs remained minimal at $1,000.
- Non-accrual loans increased to $9.2 million from $226,000, or 0.44% of loans versus 0.01%. Special-mention and substandard loans also increased.
- Investment securities declined to $501.4 million from $569.7 million. Non-interest income decreased 5.9%, while non-interest expense increased 3.6%.
- The company adopted CECL effective October 1, 2020 using the modified retrospective approach. The transition adjustment reduced retained earnings by $1.2 million after tax; the auditor identified the loan allowance estimate as a critical audit matter.
Outlook, commentary, risks and unusual items
- Management said the bank was positioned to navigate the pandemic, citing its deposit base, liquidity, capital, relationship-banking model and opportunities for loan growth. It expects no need to raise additional capital in 2021 and will continue to consider acquisitions; no numerical earnings or revenue guidance was provided.
- COVID-19 remains a key uncertainty. Of 269 loans granted payment relief, 222 had resumed normal payments and 18 had paid off; 29 loans totaling $71.0 million remained under or requested additional relief at year-end. Management cautioned that borrower performance after deferrals expire is uncertain.
- CRE concentration is a material exposure: CRE loans were 314% of risk-based capital under regulatory concentration measures. The portfolio is concentrated in California, and management highlighted potential lasting pandemic effects on office, retail and property values.
- Low rates may continue to pressure asset yields and net interest margin. CECL estimates are sensitive to unemployment and other economic assumptions, potentially making provisions more volatile.
- PPP loans were 100% SBA-guaranteed. At year-end, $5.4 million of net deferred PPP fees remained; forgiveness timing affects fee recognition. For the second PPP round, the bank reported 974 applications totaling $131.6 million as of March 11, 2021.
- After year-end, on March 15, 2021, Bancorp redeemed the subordinated debenture. The filing describes a $4.1 million principal balance plus accrued interest and $1.3 million of accelerated purchase-discount accretion.
- The company paid $0.92 per share in 2020 dividends and repurchased 203,709 shares for approximately $7.2 million. It declared a $0.23-per-share dividend in January 2021. The auditor gave an unqualified opinion on the financial statements and internal controls; management also reported effective controls.
