Changes versus FY2022

  • Revenue fell 78% to €3.819 billion, principally reflecting lower COVID-19 vaccine demand. COVID-19 vaccine revenue decreased 78%; direct product sales decreased 85%, and the reported share of collaboration partners’ gross profit decreased 76%.
  • Profit for the period fell to €930.3 million from €9.434 billion. Operating income declined to €690.4 million from €12.643 billion.
  • Research and development expense increased 16% to €1.783 billion. Non-COVID-19 R&D expense rose 49% to €1.470 billion, while COVID-19 R&D expense declined 43% to €313.0 million.
  • Cash from operating activities decreased to €5.371 billion from €13.577 billion. Year-end trade receivables also declined, reflecting timing of Pfizer profit-share settlements.
  • Other operating income and expenses shifted from a net positive €405.3 million in 2022 to a net negative €188.0 million in 2023, principally reflecting foreign-exchange movements.

Outlook, commentary, risks and unusual items

  • COVID-19 franchise: Management expects vaccine demand to decrease as COVID-19 becomes endemic, while anticipating continued seasonal boosting and a longer-term need for annually adapted vaccines. Future revenue is uncertain and sensitive to demand, competition, pricing and reimbursement, variant evolution, partner estimates, inventory write-downs and redundant manufacturing capacity.
  • Pipeline and investment: BioNTech reported more than 20 oncology programs and seven infectious-disease programs in over 40 clinical trials. It plans continued substantial R&D and organizational investment, expects 10 or more potentially registrational trials by the end of 2024, aims for oncology commercial readiness by the end of 2025 and potential oncology launches as soon as 2026, if approved, and targets 10 indication approvals by 2030. These are objectives, not assured outcomes.
  • Acquisition and collaborations: The July 2023 InstaDeep acquisition had total consideration of €517.5 million, including cash, shares and contingent consideration; acquired intangible assets included DeepChain technology. New oncology licensing and collaboration arrangements involve substantial potential future milestone and royalty payments. At year-end, maximum contractual obligations to acquire intangible assets were €1.721 billion; the filing says these amounts are contingent and unlikely all to fall due.
  • Manufacturing and inventory: COVID-19 revenue and margins were affected by inventory write-downs and costs for redundant contract manufacturing capacity. FY2023 included €94.5 million of inventory write-downs. Pre-launch inventory accounting was changed in 2023; €46.9 million of prior write-downs was reversed following regulatory approval of the XBB.1.5-adapted vaccine, with €27.3 million recognized in cost of sales as inventory was sold or written down.
  • Legal and product contingencies: Ongoing Comirnaty patent proceedings include claims by Alnylam, CureVac, Moderna, and Arbutus/Genevant. BioNTech says it intends to defend the claims; it recorded no provisions for these matters because management did not consider an outflow probable and could not reliably estimate potential losses. Product-liability claims are increasing, but the filing says none met the provision-recognition criteria at year-end and that a reasonably possible loss range could not be estimated. The filing also describes a dispute with the University of Pennsylvania and NIH over royalties and related amounts.
  • Other risks: Reported collaboration revenue depends partly on preliminary Pfizer sales and cost information, particularly outside the United States, and may be revised. Other material risks include clinical and regulatory setbacks, competition, intellectual-property outcomes, reimbursement and pricing pressure, manufacturing and supply-chain issues, foreign exchange, and cybersecurity and data-privacy risks.
  • Liquidity commitments: The filing lists 2024 lease commitments of €34.1 million and purchase and contractual commitments of €401.9 million; purchase and contractual obligations for 2025 and beyond are €1.474 billion, in addition to €210.3 million of lease commitments.

Most important facts for investors to verify

  • How 2024 Comirnaty demand, pricing and seasonal uptake compare with management’s expectations, and whether Pfizer’s preliminary sales and cost estimates are later adjusted.
  • Whether vaccine inventory write-downs, unused manufacturing capacity or contract cancellations continue to affect cost of sales and cash flow.
  • Progress and data from potentially registrational pipeline trials, including the timing and feasibility of the stated 2024, 2025, 2026 and 2030 objectives.
  • Developments, potential damages, royalties or indemnification obligations arising from patent litigation and the NIH/University of Pennsylvania royalty dispute; the filing does not provide a clear estimate of potential losses.
  • Use of the €17.653 billion cash-and-security position, including R&D spending, acquisitions, milestone commitments, capital investment and any future repurchases.
  • Whether the InstaDeep acquisition and new collaborations deliver expected strategic benefits relative to their upfront costs and potential milestone and royalty obligations.
