- At September 30, cash was $2.89 million; current assets were $5.72 million and current liabilities $1.03 million. Total assets were $11.33 million and stockholders’ equity $10.30 million.
- Digital assets had a GAAP book value of $8.22 million and disclosed fair value of $14.82 million. Under the company’s accounting policy, digital assets are impaired when value falls below carrying value, but impairment losses are not reversed for subsequent price increases until disposal.
- BTCS reported no outstanding debt in its November 8 liquidity discussion. Warrant liabilities were $712,500 at September 30.
- Nine-month cash flows: operating activities used $129,453; investing activities used $8.85 million, primarily for productive digital assets; financing activities provided $10.46 million. Cash increased $1.49 million to $2.89 million.
Changes versus prior comparable periods
- Revenue increased 6% in Q3 and 83% for the first nine months, attributed to expansion of validator operations. Nine-month validator expenses rose 115%, and gross margin declined from 81.2% to 77.9%.
- Q3 net loss narrowed by $2.81 million, primarily because the prior-year quarter included $4.7 million of non-cash contingent milestone bonuses. Nine-month net loss improved by $971,000, but included $12.35 million of digital-asset impairment losses versus $3.78 million in 2021.
- Cash used in operations fell from $3.90 million to $129,000 for the nine-month period. Financing included $11.10 million of net ATM share-sale proceeds, partly offset by approximately $635,000 in special dividend distributions.
- Shares outstanding rose to 13.05 million at September 30 from 10.53 million at December 31, 2021. The company sold 2.15 million shares under its ATM during the first nine months.
Outlook, commentary, and risks
- No numerical revenue or earnings guidance was provided. Management expected revenue could increase in Q4 if digital-asset prices improved, and expected validator costs to rise as operations scale; it anticipates potential gross-margin improvement from scale and efficiencies.
- Management said cash and liquid digital assets were sufficient for daily operations over the next twelve months. As of November 8, 2022, it reported $2.6 million cash, approximately $3.3 million fair value of liquid digital assets, and $11.1 million of staked Ethereum excluded from that liquid-assets figure. It also cited approximately $17.6 million of ATM capacity available under applicable Form S-3 limits. Management cautioned that digital assets may not be readily saleable at reasonable prices.
- The Digital Asset Platform was described as in late-stage development; the planned product aggregates portfolio data and does not enable trading. Staking-as-a-Service integration and expansion of proof-of-stake operations remain plans, not reported completed launches.
- Key risks include token-price volatility and further impairment, uncertain staking rewards and operating costs, regulation, slashing or validator disruption, loss or theft of private keys, and execution and competition risks for the planned platform. Management expects net losses could increase with platform development costs and possible further impairment.
- The company made a one-time $0.05-per-share special dividend in 2022 and said future dividends would be evaluated. It reported no legal proceedings or off-balance-sheet arrangements; management concluded disclosure controls were effective.
Important facts for investors to verify
- Reconcile the gap between digital assets’ $8.22 million GAAP carrying value and $14.82 million disclosed fair value, including which assets are staked or locked and how impairment accounting affects reported results.
- Track subsequent token prices, validator rewards, lock-up periods, network concentration, slashing exposure, and the practical liquidity of the company’s holdings.
- Assess cash burn and the basis for management’s twelve-month liquidity assessment, including the availability and potential dilution from further ATM sales.
- Monitor platform launch timing, actual user adoption, revenue contribution, development costs, and progress in adding staking customers and networks.
- Review stock-based compensation, outstanding options and restricted stock units, and dilution: the filing reports 1.61 million nonvested RSUs and 1.29 million options at September 30, 2022.
