- The SBM acquisition materially increased assets, loans, deposits, banking locations, employees, goodwill, and intangible assets. The acquisition generated $50.9 million of goodwill and $6.6 million of core deposit intangibles.
- Common shares outstanding increased from 7.4 million to 10.2 million because of the issuance of 2.75 million shares as acquisition consideration, contributing to the decline in GAAP EPS.
- Non-interest expense increased 43% to $81.1 million, including $10.4 million of acquisition-related costs and higher salaries, occupancy, equipment, and data-processing expenses.
- Mortgage banking income increased to $2.0 million from $282,000 as the Company sold $61.2 million of residential mortgages, compared with $799,000 in 2014.

Outlook, management commentary, risks, contingencies, and unusual items
Management’s strategy is to integrate SBM, realize operating efficiencies, consolidate selected locations, reduce headcount where appropriate, and achieve tangible book value dilution earn-back over five years. The filing does not provide formal earnings or revenue guidance.
HPFC, acquired with SBM, was closed effective February 19, 2016. The Company expects the acquired $77.3 million HPFC loan portfolio to run off over five to ten years while continuing to generate revenue and incurring wind-down costs.
Key risks include concentration of lending in Maine and in commercial real estate and commercial loans; changing interest rates and funding costs; liquidity and market disruption; competition from banks and non-banks; acquisition integration and failure to achieve expected synergies; credit losses and the adequacy of the allowance; goodwill and intangible-asset impairment; cybersecurity and third-party systems risk; regulatory and consumer-protection requirements; and potential litigation or servicing-related repurchase claims.
The investment portfolio had $10.2 million of gross unrealized losses at year-end, which management considered temporary. No other-than-temporary impairment was recognized in 2015. Goodwill impairment testing passed without a charge in 2015, although goodwill and other identifiable intangibles totaled $104.3 million and remain subject to future impairment risk.
Legal claims arise in the ordinary course of business, but management believed they would not have a material adverse effect. The Company disclosed $580.6 million of commitments to extend credit and letters of credit, as well as $583.9 million of contractual obligations. The filing states that the financial statements and internal control over financial reporting received unqualified audit opinions.
