Cibus, Inc. — 2023 Form 10-K Summary
Business context and reporting period
For the fiscal year ended December 31, 2023. Cibus develops gene-edited agricultural traits for licensing to seed companies, using its RTDS platform and Trait Machine process. The year is not directly comparable with 2022: Cibus Global was acquired on May 31, 2023, so 2023 includes seven months of the combined company and five months of Legacy Calyxt only; 2022 reflects Legacy Calyxt only.
The priority pipeline includes five productivity traits: developed pod shatter reduction (PSR) in canola and herbicide-tolerance traits HT1 and HT3 in rice, plus advanced Sclerotinia resistance and HT2. Cibus reported no revenue-generating commercial seed-company contracts or meaningful trait royalty revenue; revenue primarily came from research collaborations. The company’s business model depends on future licenses and royalties as partners commercialize traits.
Financial results and liquidity
| Metric | 2023 | 2022 |
|---|---|---|
| Revenue | $1.8 million | $0.2 million |
| Research and development expense | $42.4 million | $11.6 million |
| Selling, general and administrative expense | $28.9 million | $11.0 million |
| Goodwill and intangible-asset impairment | $249.4 million | None |
| Operating loss | $318.9 million | $22.4 million |
| Net loss, consolidated | $337.6 million | $16.9 million |
| Net loss attributable to Cibus, Inc. | $267.6 million | $16.9 million |
| Net cash used in operating activities | $46.2 million | $19.4 million |
Margins are not informative given minimal, primarily collaboration-based revenue and the large impairment charge. The 2023 impairment comprised $150.4 million of goodwill and $99.0 million of acquired in-process R&D. R&D and SG&A rose substantially following the merger, with merger-related stock compensation, professional fees and other transaction costs also contributing.
At December 31, 2023, cash and cash equivalents were $32.7 million, current assets were $35.2 million, and current liabilities were $21.3 million. Working capital was approximately $13.9 million. Notes payable were $1.4 million net of current maturities; lease obligations totaled $23.3 million. A separate $165.3 million related-party Royalty Liability reflects estimated future payments and is not conventional funded debt: holders are entitled to 10% of specified cash revenues, with payments triggered after qualifying revenue reaches $50 million in a consecutive 12-month period. The liability generated $18.9 million of non-cash interest expense in 2023.
The company reported an accumulated deficit of $479.8 million and used $46.2 million of operating cash. Management stated that year-end cash, taking into account expected ATM proceeds and cost savings, was expected to fund planned expenses and capital expenditures only into early Q3 2024. It concluded substantial doubt exists about Cibus’s ability to continue as a going concern for at least one year after the financial statements’ issuance. The auditor issued an unmodified opinion and separately highlighted the going-concern uncertainty.
Material changes and notable items
- The May 2023 merger combined Legacy Calyxt and Cibus Global, with the combined company operating in an Up-C structure. The merger added $59.4 million of cash and substantially changed the company’s assets, liabilities, share structure and operating scale.
- On October 18, 2023, Cibus announced a strategic realignment prioritizing launch of PSR, HT1 and HT3, enabling the soybean platform, and advancing Sclerotinia resistance and HT2. The workforce was reduced from 242 employees to approximately 185; year-end headcount was 183. Cost measures included lower capital spending and contractor use.
- The December 2023 stock offering raised approximately $18.6 million net. In January 2024, Cibus established an at-the-market facility of up to $80 million; by March 20, it had sold approximately 356,477 shares for approximately $6.2 million net.
- In 2023, Cibus transferred PSR into customer germplasm for 10 initial canola customers and transferred rice HT traits to a customer. These collaborations and transfers are not themselves commercial royalty contracts.
Outlook, risks and contingencies
- Management expects operating cash use in 2024 to exceed 2023, in part because 2024 will include a full year of combined-company operations. Additional financing is needed; financing may be unavailable, costly, or dilutive. Failure to raise sufficient capital could force further cuts, delay or curtail programs, or lead to a wind-down.
- Management expected the soybean single-cell regeneration platform to be operational, with initial editing completed, in 2024. Cibus announced a scalable wheat editing process in January 2024 and had begun work toward a corn platform. These are development milestones, not evidence of commercial revenue.
- The European Parliament supported a proposed gene-editing regulatory framework in February 2024, but negotiations and adoption remained pending. Current EU rules treat relevant gene-editing techniques as GMOs; Cibus’s market estimates include EU acreage and depend on regulatory change. The Parliament’s proposed patent restrictions could also affect IP protection.
- Key business risks include uncertain field-trial performance and commercialization, dependence on seed-company partners, competition from larger companies, evolving regulation and public acceptance, and the cost and execution risks of maintaining platforms and protecting intellectual property. Management’s acreage, trait-fee and royalty projections are estimates and may differ materially from results.
- The Tax Receivable Agreement generally entitles specified parties to 85% of certain realized or deemed tax savings; no liability was recorded at year-end because the related tax benefits were subject to a full valuation allowance. Payments may be accelerated in specified events. Cibus also disclosed that certain directors and officers are beneficiaries of the Royalty Liability.
- No material pending legal proceedings were reported. A 2022 vendor settlement resulted in a final $0.75 million receipt in the first quarter of 2023.
Important facts for investors to verify
- How much additional capital Cibus raises, the remaining ATM capacity and share dilution, and whether funding extends the stated early-Q3 2024 runway.
- Whether seed-company collaborations convert into binding commercial agreements, and the timing and terms of any licenses, milestones or royalties.
- Progress and field validation for PSR, HT1, HT3, Sclerotinia resistance and HT2, as well as delivery of the soybean platform timetable.
- Final EU gene-editing legislation, including treatment of herbicide-tolerance traits and any patent restrictions, and the effect on Cibus’s addressable markets.
- The assumptions behind the impairment valuations and market estimates, and the potential cash-flow effects of the related-party Royalty Liability and Tax Receivable Agreement.
