Celldex Therapeutics, Inc. — Q2 2014 Form 10-Q

Net cash used in operating activities——$52.7 million$35.3 million

At June 30, cash and cash equivalents were $40.8 million and marketable securities were $211.6 million, totaling $252.4 million. Total assets were $297.6 million, total liabilities $32.3 million, and stockholders’ equity $265.3 million. The filing reports no term loan outstanding; interest expense was zero for the first half of 2014. Current liabilities were $21.2 million. Revenue was small relative to research and development spending, so conventional operating margins are not informative.

Changes versus comparable periods

  • First-half net loss increased $21.8 million year over year, principally reflecting higher R&D and general and administrative costs.
  • First-half R&D expense rose 75% to $51.2 million. Program expenses included $25.9 million for rindopepimut and $14.8 million for glembatumumab vedotin; product development and manufacturing costs were major drivers.
  • First-half revenue fell 60% to $1.0 million, mainly because $2.3 million of product royalties recorded in 2013 ended after expiration of the relevant GlaxoSmithKline patent right. BMS and Rockefeller agreement revenue partly offset the decline.
  • Cash used in operations increased to $52.7 million from $35.3 million. Cash and cash equivalents declined from $169.4 million at year-end, while marketable securities increased from $133.6 million to $211.6 million.
  • Financing provided $0.9 million in the first half of 2014 versus $105.4 million in 2013, when substantial public and controlled-equity offerings generated proceeds.

Outlook, programs, and notable items

  • Management says available cash, cash equivalents, and marketable securities are sufficient to fund planned operations for more than two years in the MD&A; a financial-statement note instead says at least the next twelve months. The filing therefore gives inconsistent runway statements.
  • Management expects operating cash use, R&D product-development spending, personnel costs, and commercial-planning expenses to increase over the next twelve months. It may seek additional capital through partnerships, licensing, debt, equity offerings, or business combinations; availability and acceptable terms are not assured, and equity financing could dilute shareholders.
  • In May 2014, BMS paid Celldex $5.0 million under a varlilumab–nivolumab clinical-trial collaboration. The upfront payment is deferred and recognized over an estimated five-year performance period. The planned Phase 1/2 study was expected to begin in Q4 2014; BMS is to reimburse 50% of external trial costs. The agreement also gives BMS a time-limited right of first negotiation if Celldex seeks to out-license varlilumab.
  • Celldex expected to close screening in the pivotal ACT IV rindopepimut study in Q3 2014, with the last patient expected to be randomized in Q4 2014. Updated ReACT study data were expected by year-end 2014.
  • The randomized METRIC study of glembatumumab vedotin in triple-negative, gpNMB-overexpressing breast cancer was underway; it was designed to enroll approximately 300 patients. A $2.5 million Seattle Genetics milestone was incurred and paid following METRIC’s initiation.
  • Other stated plans included starting a glembatumumab vedotin melanoma study in the second half of 2014, a varlilumab/CDX-1401 combination study in the second half of 2014, and a CDX-301 pilot study in Q3 2014. These are management expectations, not reported outcomes.
  • A $2.0 million TopoTarget milestone was triggered in July 2014 by FDA approval of Beleodaq; management anticipated receipt. New Jersey tax-benefit sale agreements require maintaining a New Jersey operating base for five years or repaying benefits pro rata.
  • Key risks include clinical-trial safety and efficacy, regulatory approval, product development costs and timing, manufacturing and supplier availability, intellectual-property disputes, and the ability to raise capital or secure collaborations. The company reported no material changes to previously disclosed risk factors.

Important facts for investors to verify

  • Reconcile the stated cash runway: more than two years in MD&A versus at least twelve months in the financial-statement note.
  • Track cash burn and spending growth against clinical milestones, especially ACT IV, METRIC, and planned combination studies.
  • Confirm timing, enrollment, and clinical results for the trials described as expected to start or report in 2014; the filing provides plans, not confirmation of later completion.
  • Review how the BMS upfront payment and subsequent cost reimbursements are recognized, and the commercial implications of BMS’s negotiation right and amended license terms.
  • Assess reliance on future financing or partnerships, potential dilution or debt restrictions, and the terms of any future capital raise.
  • Monitor the TopoTarget milestone receipt and the obligations attached to New Jersey tax-benefit proceeds.
