- Noninterest income: $15.9 million in Q3 and $44.6 million year to date, versus $7.6 million and $16.1 million, respectively. The improvement was driven substantially by lower expense from the FDIC loss-sharing asset and higher service charges.
- Noninterest expense: $60.0 million in Q3, down 7% year over year; nine-month expense was $175.1 million, up 5% because of the larger post-acquisition operating base.
- Credit quality: Nonperforming noncovered assets declined to $38.4 million from $57.9 million at year-end 2013. Nonaccrual noncovered loans were $28.0 million, and the allowance was $49.9 million, equal to 1.09% of noncovered loans and 178% of nonperforming noncovered loans.

Material Changes Versus Prior Comparable Period
- Quarterly net income increased 63%, primarily because of higher noninterest income and lower acquisition-related expenses, partly offset by lower net interest income.
- Quarterly net interest income declined 5%, principally because incremental accretion income on acquired loans fell to $9.4 million from $17.4 million.
- Quarterly net interest margin declined 52 basis points to 4.85%; operating net interest margin declined to 4.22% from 4.41%.
- Nine-month net income benefited from the West Coast acquisition being included for nine months in 2014 versus six months in 2013. Acquisition-related expenses declined to $4.9 million from $17.6 million.
- Noncovered loans grew $359.7 million from year-end, led by commercial business loans and real estate construction loans.
- Noncovered nonperforming assets improved materially, while the allowance declined from $52.3 million to $49.9 million as management cited improving core asset quality.
- Available-for-sale securities declined to $1.61 billion from $1.66 billion, while their net unrealized position improved from a $16.4 million loss to a $1.6 million gain.
Guidance, Outlook, Risks and Unusual Items
- The filing provides no formal earnings or revenue guidance. Management expects continued commercial lending and anticipates continued use of FHLB advances, Federal Reserve borrowings and repurchase agreements as supplemental funding sources.
- Management identifies risks from economic and real estate conditions, credit quality and collateral values, interest-rate changes, competition, regulatory and FDIC costs, liquidity, operational and compliance risks, acquisition integration, and potential goodwill impairment.
- Approximately $129.9 million of covered loans were subject to loss-sharing agreements expiring March 31, 2015. As those agreements expire, future credit losses may receive less offsetting FDIC reimbursement.
- The FDIC loss-sharing asset declined to $23.5 million from $39.8 million at year-end. The Company also reported a $4.2 million estimated FDIC clawback liability.
- During Q3, the Company recorded a one-time $2.6 million increase to taxable-securities interest income to correct an immaterial premium-amortization error. Management stated that the correction was not material to current or prior reported results.
- Columbia completed a three-branch sale in August 2014, transferring $22.2 million of deposits and recognizing a $565 thousand gain.
- On November 1, 2014, after quarter end, the Company completed its approximately $134.1 million acquisition of Intermountain Community Bancorp to expand into Idaho. The acquired assets and liabilities had not yet been fully valued at the filing date.
- The Oregon Court of Appeals affirmed dismissal of claims against West Coast Trust; a petition for review by the Oregon Supreme Court remained possible.
Investor Verification Checklist
- Verify the sustainability of earnings excluding acquired-loan accretion, FDIC loss-sharing effects and the $2.6 million accounting correction.
- Monitor net interest margin, loan pricing and the effect of lower acquired-loan accretion on future net interest income.
- Assess credit trends as noncovered loans grow, including net charge-offs, nonaccrual loans, classified loans and allowance coverage.
- Review the expiration and financial impact of FDIC loss-sharing agreements, including potential clawback obligations.
- Evaluate liquidity dependence on deposits, FHLB funding and repurchase agreements, together with the $1.42 billion of commitments to extend credit.
- Assess the integration, valuation, capital impact and expected benefits of the Intermountain acquisition.
- Confirm regulatory capital levels remain above well-capitalized thresholds while dividends and strategic expansion continue.
