Revenue was essentially flat year over year. Gross margin improvement reflected lower product costs, including the absence of prior-year acquired-inventory step-up charges, and lower intangible amortization. SG&A fell by $10.8 million, principally because Q1 2023 included an $8.5 million litigation settlement and higher legal costs. Q1 2023 net loss included a $23.5 million loss on extinguishment of debt.

Cash and cash equivalents were $228.6 million, with $89.4 million of marketable securities, at March 31, 2024. Cash, cash equivalents and restricted cash declined $10.3 million during the quarter. Investing activities used $18.1 million, primarily reflecting net purchases of marketable securities; financing activities used $54.1 million, including $45.8 million of term-loan repayments.

At quarter-end, term-loan principal was $366.7 million and convertible-note principal was $267.9 million: $26.4 million due 2026 and $241.5 million due 2029. Total principal debt was approximately $634.5 million. The term loan carried a 13.1% contractual rate (14.6% effective rate); $183.3 million of term-loan principal was due within 12 months. Current assets were $539.3 million and current liabilities $446.4 million.

Adjusted EBITDA, a non-GAAP measure, was $92.4 million versus $87.6 million. Adjusted net income was $58.8 million and adjusted diluted EPS $1.45; these measures exclude specified items and should be considered alongside GAAP results.

Material changes and business developments

  • Belbuca revenue increased $6.4 million to $50.7 million, while Xtampza ER revenue declined $2.1 million to $45.8 million. Nucynta IR and ER revenue declined by a combined $3.9 million to $45.1 million; Symproic fell $0.3 million to $3.3 million.
  • On April 11, 2024, Collegium called all $26.35 million of remaining 2026 convertible notes for cash redemption on June 14, 2024. The filing says conversion settlement amounts above carrying value and unamortized issuance costs will result in a Q2 2024 debt-extinguishment loss; the amount is not specified.
  • On April 26, 2024, Collegium granted Hikma exclusive U.S. rights to market authorized generic versions of Nucynta IR and ER. Collegium is to receive a profit share beginning in the mid-80% range, declining as third-party generic equivalents enter; launch timing is tied to loss of exclusivity or certain earlier conditions.
  • In May 2024, the Board authorized a $35 million accelerated share repurchase as part of the existing $150 million repurchase program. No shares had been repurchased under that program as of March 31, 2024.

Outlook, risks and contingencies

Management believes cash, cash equivalents, marketable securities and expected operating cash inflows will fund operating expenses, debt service and capital expenditures for the foreseeable future. The filing provides no quantified revenue or earnings guidance. Management notes substantial ongoing cash needs, including debt service, royalties, manufacturing commitments, taxes and potential share repurchases or business-development activity.

Key risks include dependence on a small portfolio of marketed products; opioid-related regulation, reimbursement and market acceptance; generic competition and patent litigation; reliance on limited suppliers and contract manufacturers; and distributor concentration. Three wholesalers accounted for more than 90% of product shipments in the quarter. The variable-rate term loan exposes the company to rate increases; a hypothetical 1% rate change would change annual interest expense by approximately $3.7 million at the quarter-end balance.

Material legal matters include Purdue patent litigation concerning Xtampza ER and Nucynta and generic challenges to Belbuca patents. The company says it cannot assess the likelihood or estimate a potential loss for certain pending matters. It is also cooperating with state opioid-related investigations; the Massachusetts investigation was resolved through an Assurance of Discontinuance, while other investigations remain open. The filing reports no other material litigation changes beyond those described.

Important facts for investors to verify

  • Whether product-level revenue trends, gross-to-net deductions and wholesaler purchasing remain stable in subsequent quarters.
  • The cash cost and accounting impact of the June 2024 redemption of the 2026 notes, and the effect on liquidity and debt service.
  • Term-loan repayment capacity and exposure to variable interest rates, given the high contractual rate and near-term principal installments.
  • Timing and economics of Hikma’s authorized generic launches, and the effects of exclusivity expiration and generic competition.
  • Developments in pending patent litigation, opioid investigations, supply arrangements and concentration among wholesalers and manufacturers.
  • Use of the $150 million repurchase authorization, including the May-authorized $35 million accelerated repurchase, against competing capital needs.
