Cash plus short-term investments was $855.1 million at quarter-end versus $861.5 million at year-end, a 1% decline. The balance sheet reports no conventional borrowings; lease obligations and amounts due to non-controlling interests are among the liabilities. Loans receivable totaled $72.2 million.

Changes versus the prior comparable period

  • Revenue growth came mainly from higher Canadian adult-use flower and extract sales and higher flower sales in Israel. Canada revenue was $18.9 million and Israel revenue $6.4 million.
  • Cost of sales rose 26%, less than revenue growth, and gross margin increased 3 percentage points. Management cited favorable labor, overhead and inventory variances, partly offset by Canadian flower price/mix and higher excise taxes as a percentage of revenue.
  • Operating expenses declined 14%, with lower general and administrative, research and development, marketing, share-based compensation, and depreciation and amortization costs. Cronos nevertheless recorded $2.0 million of long-lived asset impairment and $0.1 million of restructuring costs.
  • The smaller net loss reflected improved operating results and other income, including $14.2 million of net interest income, a $13.3 million foreign-currency transaction gain, and $1.4 million of equity-method income. These were partly offset by a $12.7 million impairment of the PharmaCann option and a $2.6 million loss on revaluation of financial instruments.
  • Q1 2023 included a $1.2 million loss from discontinued U.S. operations; there was no discontinued-operations activity in Q1 2024.

Outlook, management commentary and risks

  • Management said existing cash and cash equivalents and short-term investments should fund operations and capital expenditures for the next 12 months. No quantified revenue or earnings guidance was provided.
  • The company continues its realignment and cost-reduction efforts. It ceased operations at its Winnipeg facility, recognized impairment and selling-cost charges, and classified related assets as held for sale.
  • In April 2024, Peace Naturals Campus assets were classified as held for sale after meeting the relevant criteria. A previously announced sale-leaseback agreement contemplates C$23 million cash proceeds, subject to conditions; closing is not reported in this filing.
  • Cronos reported its first shipment of PEACE NATURALS medical cannabis flower to the UK in May 2024 through GROW Pharma. The filing provides no quantified expected revenue from this market.
  • Management is monitoring the Middle East conflict and warns that impacts on Israeli personnel, operations, supply, demand and asset values remain uncertain. The filing also notes an Israeli investigation into alleged dumping of Canadian medical cannabis imports and an Israeli consumer class-action claim seeking ILS 420 million; outcomes cannot be predicted.
  • Other material risks include customer concentration: three customers represented 62% of revenue before excise taxes, and two customers accounted for 40% of accounts receivable. A shareholder class action in Ontario was certified; a separate U.S. case was dismissed with prejudice, but a reconsideration motion remains pending.
  • KPMG will not stand for re-appointment for the 2024 annual audit and plans to review only the first two 2024 quarters. Cronos cautions it may not appoint a new auditor in time to review Q3 statements, potentially affecting its reporting deadlines.
  • Management reported disclosure controls were effective as of March 31, 2024 and no material change in internal control over financial reporting occurred during the quarter. Foreign-currency translation reduced comprehensive income by $22.4 million; the company said it does not currently contemplate hedging foreign-exchange exposure.

Important facts for investors to verify

  • Whether revenue growth and margin improvement persist, particularly given Canadian price/mix and excise-tax pressure.
  • Cash generation excluding investment maturities, and the pace of operating cash use and planned cost savings.
  • Completion, timing and proceeds of the Peace Naturals sale-leaseback, and the disposition of the Winnipeg facility.
  • Further valuation changes or impairment risk for the PharmaCann option and other investments.
  • Developments in Israel, including the import investigation, consumer litigation and operational effects of regional conflict.
  • Timely appointment of a successor auditor and completion of the required Q3 review.
