Revenue rose 1.0%, reflecting higher OEM, aftermarket and other sales, partly offset by a sharp fall in Industrial Automation sales. Foreign exchange translation reduced FY 2022 revenue by $18.6 million. Higher material, labor and overhead costs, together with a $10.4 million Industrial Automation inventory charge, drove the gross-margin decline. Net loss included $10.5 million of other expense, including a $9.2 million U.S. pension-plan settlement charge, and $20.9 million of income tax expense; CVG established a full valuation allowance on U.S. deferred tax assets.

Segments and material changes

  • Vehicle Solutions: Revenue $579.7 million, up 16.2%; operating income $21.0 million, down 11.0%. Higher pricing and new wins lifted sales, while supply-chain disruption, inflation and China shutdown effects pressured profitability.
  • Electrical Systems: Revenue $180.4 million, up 6.8%; operating income $18.2 million, up 25.1%, supported by pricing, new business and improved gross margin.
  • Aftermarket & Accessories: Revenue $133.7 million, up 15.5%; operating income $11.9 million, down 1.5%. Higher sales were partly offset by cost inflation and restructuring charges.
  • Industrial Automation: Revenue $87.7 million, down 53.3%; operating loss $7.9 million, versus operating income of $23.6 million. Lower customer demand and the $10.4 million inventory charge drove the deterioration.

FY 2022 operating cash flow improved by $98.8 million year over year, primarily as working-capital use eased; accounts receivable and accounts payable changes were significant contributors. Investing cash outflow was $19.7 million and financing cash outflow was $50.1 million, including $43.2 million of net credit-facility repayments.

Debt, liquidity and capital

At December 31, 2022, cash was $31.8 million and total debt, net of financing costs, was $152.4 million, down from $195.0 million a year earlier. No revolving-credit borrowings were outstanding; unused revolver availability was $148.8 million, with $1.2 million of letters of credit. Reported liquidity was $180.6 million. Current assets were $339.6 million and current liabilities were $175.8 million.

In May 2022, CVG amended and expanded its senior secured facilities to a $175 million term loan and $150 million revolving facility, with maturity extended to May 2027. The company reported compliance with debt covenants at year-end. The agreement includes a 1.20:1.0 minimum fixed-charge coverage ratio and a maximum leverage ratio that steps down to 3.00:1.0 from the September 2023 quarter. Management said it expected adequate liquidity for the next 12 months, while noting covenant compliance depends on actual results.

Outlook, risks and unusual items

  • Management cited strong truck-market backlog but continuing supply constraints, labor shortages, chip shortages, freight costs and material and labor inflation. CVG is pursuing pricing recovery, cost control and operational improvements.
  • Management cited ACT Research estimates that North American Class 8 production would decline from 315,128 units in 2022 to 305,000 in 2023, while Class 5–7 production would rise from 241,172 to 242,000. These are third-party industry estimates, not company revenue guidance.
  • CVG expects 2023 capital expenditures of $20 million to $25 million. Its stated strategy includes optimizing legacy operations, expanding in targeted markets including electric vehicles, diversifying customers and end markets, and selectively pursuing acquisitions. No numerical company earnings or revenue guidance is provided in the supplied text.
  • Geopolitical and operating exposures include the war in Ukraine, where CVG has about 1,200 employees and ships products through the Ukraine–Czech Republic border, and COVID-related shutdowns at its Shanghai plant during 2022. Other principal risks include customer concentration, cyclical truck and construction demand, inability to pass through cost inflation, supply disruption, foreign exchange, and debt covenant compliance.
  • The company recorded $5.4 million of restructuring costs in 2022. It completed the final $4.8 million contingent-consideration payment related to its FSE acquisition and settled its U.S. pension-plan liabilities. Management said ordinary-course legal matters were not expected to have a material adverse effect, while noting outcomes are uncertain.
  • KPMG issued unqualified opinions on the financial statements and internal control over financial reporting. Revenue testing was identified as a critical audit matter.

Investor verification priorities

  • Assess whether Industrial Automation demand and profitability recover, and whether the inventory charge signals further exposure.
  • Compare pricing recovery with material, freight and labor cost inflation; track gross margin and segment operating results.
  • Review operating cash flow quality, including the extent to which working-capital changes supported the FY 2022 improvement.
  • Monitor debt levels, interest-rate exposure, covenant headroom and the scheduled leverage-ratio step-downs.
  • Track conditions at the Ukraine and Shanghai operations, customer concentration, and the stated 2023 production and capital-spending outlook.
  • Review the U.S. deferred-tax-asset valuation allowance and assumptions supporting future tax-asset realization.
