Cytokinetics, Inc. — Q1 2015 Form 10-Q
Reporting period: Three months ended March 31, 2015. Cytokinetics is a clinical-stage biopharmaceutical company developing muscle-function therapeutics; it had no commercial product sales.
Financial performance and liquidity
| Metric | Q1 2015 | Q1 2014 / comparator |
|---|---|---|
| Revenue | $4.4 million | $8.0 million |
| Research and development expense | $9.0 million | $12.5 million |
| General and administrative expense | $4.4 million | $4.3 million |
| Operating loss | $8.9 million | $8.8 million |
| Net loss | $8.9 million; $0.23 per share | $8.7 million; $0.27 per share |
| Operating cash flow | $34.4 million provided | $17.8 million used |
Revenue declined $3.6 million year over year, mainly because Q1 2014 included Astellas research reimbursements and a $2.0 million milestone, as well as license revenue recognized over time. Operating expenses fell $3.4 million, largely reflecting lower outsourced clinical and preclinical spending after the BENEFIT-ALS trial ended. Operating and net losses were broadly similar year over year. Approximate operating and net loss margins were both about negative 202% of revenue.
At March 31, cash and cash equivalents were $22.5 million, short-term investments $85.3 million and long-term investments $9.7 million, totaling $117.5 million in cash, cash equivalents and investments. This compared with $83.2 million at year-end 2014. The increase primarily reflected Astellas’s January receipt of a $30 million upfront license payment and a $15 million milestone payment. Q1 operating cash flow benefited substantially from that receipt and a $45.7 million reduction in related-party receivables; it should not be viewed as the company’s underlying operating cash generation. Cash used in investing was $32.1 million, primarily net investment purchases; financing provided $0.1 million.
Total assets were $122.2 million and total liabilities $38.1 million at quarter-end. Current assets were $110.8 million and current liabilities $25.4 million. The filing reports no debt balance. Deferred revenue totaled $32.2 million, largely associated with Astellas. Accumulated deficit was $506.1 million.
Material changes and business developments
- Astellas expanded its collaboration to include spinal muscular atrophy (SMA) and other neuromuscular indications. Cytokinetics plans to conduct an initial CK-2127107 Phase II trial in SMA; Astellas funds collaboration development, subject to Cytokinetics’ co-funding option.
- Amgen and Cytokinetics extended their research program through December 2015, with reimbursement for certain internal costs and potential research milestones. Amgen leads development of omecamtiv mecarbil.
- R&D expense fell 28% year over year, mainly due to lower skeletal-muscle program spending; general and administrative expense was nearly flat.
- Q1 2015 included $0.9 million of stock-based compensation. No income tax provision was recorded.
Outlook, commentary and risks
- Management forecast 2015 revenue of $23–$27 million, R&D expense of $56–$59 million and G&A expense of $18–$20 million.
- Management believed existing cash, cash equivalents and investments would fund projected needs for at least 12 months. It also expected continuing operating losses and future cash outflows; additional capital or collaboration funding may be required, and may not be available on acceptable terms.
- Planned milestones included initiation of tirasemtiv Phase III development in ALS in Q2 2015, a CK-2127107 SMA Phase II trial in the second half of 2015, and COSMIC-HF results in the second half of 2015. Timing and outcomes were uncertain.
- Key risks include clinical-trial failure or delay, regulatory uncertainty (including acceptance of respiratory-function endpoints for tirasemtiv), reliance on Amgen and Astellas’ development decisions, dependence on external financing, manufacturing and vendor execution, and the absence of product revenue.
- Cytokinetics is seeking monetary damages in litigation against clinical-trial data vendor Pharm-Olam over alleged service failures in BENEFIT-ALS. Pharm-Olam filed a separate declaratory-judgment action; the company recorded no gain for its claim.
- Management reported disclosure controls and procedures were effective, subject to their inherent limitations, and no material change in internal control over financial reporting occurred during the quarter.
Important facts for investors to verify
- Whether the forecast revenue and expense ranges, and the stated 12-month liquidity runway, remain supported by updated cash needs and collaboration receipts.
- Progress and regulatory feedback for tirasemtiv Phase III planning, including endpoint acceptability and required funding.
- CK-2127107 SMA trial timing and COSMIC-HF results, including partner decisions affecting development.
- The extent to which reported operating cash flow reflects one-time Astellas receipts rather than recurring operations.
- Developments in the Pharm-Olam litigation and any effect on trial costs or data integrity.
- Potential dilution: 6.7 million warrants were outstanding at March 31, 2015; 1.1 million Deerfield warrants expired unexercised on April 20, 2015.
