EPM revenue was $11.81 million, up from $9.89 million, with segment operating loss narrowing to $0.39 million from $1.10 million. CPD recorded $3.42 million of revenue and $0.56 million of operating income, principally from licensing The Blue Angels to Amazon through IMAX. The film’s production-cost amortization contributed $1.77 million to Q1 direct costs. Total expenses rose to $15.07 million from $12.46 million, including higher direct costs and payroll. Interest expense increased to $0.50 million from $0.36 million.

Cash used in operations was partly offset by $0.93 million of net financing cash flow, including $0.90 million of related-party note proceeds and $0.50 million from equity sales to Lincoln Park. Cash and restricted cash declined $0.05 million during the quarter. Restricted cash was $1.13 million.

Changes and notable items

  • Revenue growth included $3.42 million from The Blue Angels, with the remainder primarily reflecting higher EPM activity and the inclusion of Special Projects revenue. Special Projects was acquired in October 2023; its Q1 2024 results were included, unlike Q1 2023.
  • Common shares outstanding increased to 18.66 million at March 31 from 18.22 million at December 31. The company issued 350,000 shares to Lincoln Park for $0.50 million during the quarter; it reported another 300,000 shares sold for $0.35 million after quarter-end.
  • Q1 included $0.90 million of new borrowing from the CEO’s brother. A further $1.0 million CEO note was issued after quarter-end. The company also owes the CEO $2.63 million in accrued compensation, payable on demand, plus accrued interest.
  • On May 14, 2024, the Special Projects purchase agreement was amended: the working-capital surplus plus a 10% premium was to be settled through issuance of 714,578 common shares.

Liquidity, debt, outlook and risks

Total debt was $19.96 million, including $5.10 million of 10% convertible notes, $3.88 million of nonconvertible promissory notes, a $3.00 million Socialyte note, $2.01 million of related-party loans, and BankUnited term-loan and revolving-credit balances. Approximately $4.92 million of debt was classified as current, and management reported $4.9 million of debt obligations due within twelve months. The BankUnited term loan bears fixed interest of 8.10%; its covenants require minimum debt-service coverage of 1.25:1.00, maximum funded debt/EBITDA of 3.00:1.00, and a daily minimum BankUnited cash balance of $1.50 million. The company reported compliance at March 31.

Management said cash, expected operating cash generation and other funding sources should be sufficient for debt requirements. However, the quarter produced negative operating cash flow, current liabilities exceeded current assets, and the company used equity issuance and related-party borrowing for financing. The $3.00 million Socialyte note had matured in 2023; repayment was deferred pending agreement on a post-closing working-capital adjustment.

Management intends to complete at least one acquisition and make additional investments during 2024, but gave no assurance either will occur. It also described potential film projects that depend on obtaining financing; no specific financial guidance was provided. The Blue Angels was scheduled for theatrical release May 17, 2024 and Amazon Prime Video streaming May 23, 2024.

Disclosure controls and procedures were deemed ineffective as of March 31 because previously disclosed material weaknesses had not been remediated. Management described remediation work in progress, including formalizing risk and review procedures, improving close and journal-entry controls, and using a third-party accounting consultant. The filing reported no known pending litigation expected to have a material effect and no material changes to the risk factors in the 2023 Form 10-K.

Key facts for investors to verify

  • Whether the company can sustain operating cash generation and meet near-term debt and other payment obligations without further borrowing or equity issuance.
  • The status and resolution of the overdue $3.00 million Socialyte note and the associated working-capital adjustment.
  • Progress remediating material weaknesses in disclosure controls and internal control over financial reporting.
  • How much future revenue and profit depend on the one-time Blue Angels licensing transaction versus recurring EPM business.
  • The dilution and financing implications of Lincoln Park share sales, convertible notes, and the Special Projects share settlement.
  • Whether management’s 2024 acquisition and investment plans proceed and how they will be funded.
