At June 30, 2023, total assets were $1.197 billion, up 12.5% from December 31, 2022. Net loans were $996.7 million, up 12.5%, led by commercial real estate, residential, multifamily and commercial loans. Cash and cash equivalents were $79.9 million, compared with $62.1 million at year-end.

Total deposits were $787.0 million, up 9.6%, primarily because certificates of deposit increased to $408.8 million. Core deposits declined to $378.1 million. Federal Home Loan Bank advances increased to $234.0 million from $174.0 million, supporting loan growth and liquidity. Shareholders’ equity was $164.6 million.

For the six months, operating activities provided $3.4 million of cash, investing activities used $114.4 million, and financing activities provided $128.8 million. Cash and cash equivalents increased $17.8 million during the period.

Material Changes Versus Comparable Periods

  • Q2 net income increased modestly by $29 thousand year over year, while six-month net income declined $453 thousand.
  • Interest and dividend income more than doubled in Q2 to $13.7 million and increased 119.6% for the six months to $25.7 million, reflecting substantial loan growth and higher yields.
  • Interest expense increased sharply to $7.3 million in Q2 and $12.9 million for the six months, as deposit and FHLB funding costs rose significantly.
  • Net interest income increased, but margin compressed as funding costs rose faster than asset yields. Q2 net interest margin declined 94 basis points, and the six-month margin declined 82 basis points.
  • Noninterest income fell primarily because the prior-year periods included a $440 thousand life insurance death-benefit gain that did not recur.
  • Noninterest expense increased 31.6% in Q2 and 36.3% for the six months, driven by staffing and compensation, ESOP expense, FDIC insurance assessments, professional fees and other public-company costs.
  • The allowance for credit losses on loans increased to $8.5 million from $7.2 million at year-end. The January 1, 2023 CECL adoption reduced opening retained earnings by $677 thousand.

Outlook, Risks, Contingencies and Unusual Items

The filing does not provide formal earnings or operating guidance. Management expects to maintain sufficient liquidity for current commitments and anticipates retaining a significant portion of maturing time deposits, but notes that deposit retention and funding costs depend on interest rates, competition and market conditions.

  • Liquidity included $211.0 million of unused FHLB borrowing capacity and $10.0 million of unused capacity with Atlantic Community Bankers Bank. Deposits of $168.8 million, or 21.5% of total deposits, were nonbrokered certificates maturing within one year.
  • Off-balance-sheet commitments totaled $162.1 million, including $22.0 million of loan-originating commitments, $78.3 million of unused credit lines and $61.7 million of unadvanced construction loans. The reserve for such commitments was $954 thousand.
  • Only $338 thousand of loans were past due at June 30, 2023, and nonaccrual loans totaled $923 thousand. One $110 thousand residential mortgage was in foreclosure.
  • Held-to-maturity securities had $7.6 million of unrealized losses, attributed primarily to interest-rate changes. Management stated it intended and was able to hold the securities and expected no credit loss.
  • Principal risks include net-interest-margin pressure from higher funding costs, interest-rate and real-estate-market volatility, credit losses, deposit outflows, reliance on wholesale funding, competition, regulatory changes, cybersecurity and third-party service disruptions.
  • The Bank was categorized as well capitalized. At June 30, 2023, total risk-based capital was 15.25%, CET1 capital was 14.24% and Tier 1 leverage was 11.21%.
  • On August 10, 2023, the Board authorized repurchases of up to 458,762 shares, approximately 5.0% of outstanding shares. No repurchases occurred during the quarter.
  • Management reported effective disclosure controls and no material legal proceedings or internal-control changes.
